Do business in Singapore. Without the mess.
Incorporate a Pte Ltd, get your local director, and handle GST and ACRA filings, all through one platform. Singapore is one of the fastest places in the world to set up. Compliance is another story.

Why Singapore
Asia's premier business hub. Fast to set up, complex to maintain.
Singapore consistently ranks among the easiest places in the world to do business. Low corporate tax, a robust legal system modelled on English common law, political stability, and unmatched connectivity into Southeast Asian markets make it the default incorporation choice for companies expanding into Asia.
The catch: every Singapore Pte Ltd requires at least one locally resident director: a Singapore citizen, Permanent Resident, or Employment Pass holder. For most foreign companies, that means finding and maintaining a nominee director. Commenda provides this service, along with every ongoing ACRA filing, GST return, and corporate secretarial obligation, so your Singapore entity stays fully compliant from day one.

It offers strong liability protection, a credible corporate identity, and is the structure banks, enterprise customers, and investors expect. - 100% foreign ownership permitted, with no local partner required
- Attractive tax position: 17% headline rate with significant startup exemptions for the first three years
- Clear share structure supports raising equity from investors and distributing employee stock options
- Perpetual existence: ownership changes do not affect the company's continuity
- Globally recognised and trusted by banks, enterprise buyers, and institutional investors

FAQ
Common questions
Yes. Every Singapore Pte Ltd must have at least one director who is ordinarily resident in Singapore: a Singapore citizen, Permanent Resident, or Employment Pass holder. If you do not have a local director, Commenda provides a nominee director service to fulfill this requirement on your behalf.
Yes. Singapore allows 100% foreign ownership of a Private Limited Company with no local partner requirement. Foreign nationals and foreign-incorporated entities can hold 100% of the shares. The only local requirement is the resident director, which Commenda provides.
No. Commenda supports fully remote incorporations through digital onboarding, from ACRA registration through to corporate bank account guidance. You do not need to visit Singapore.
Singapore law requires every company to appoint a qualified company secretary within six months of incorporation. The company secretary handles statutory filings with ACRA, maintains company records, and ensures ongoing compliance with the Companies Act. Commenda provides corporate secretarial services as part of the post-incorporation setup.
Qualifying new Singapore companies are entitled to a partial tax exemption for the first three years: 75% exemption on the first SGD 100,000 of chargeable income and 50% on the next SGD 100,000. This can significantly reduce your effective tax rate well below the 17% headline rate in your early years of operation.
GST registration becomes mandatory once your annual taxable turnover exceeds SGD 1 million. Voluntary registration is also available if you want to reclaim input GST on business expenses. Commenda monitors your turnover thresholds, handles registration when required, and files your quarterly GST returns.
