Forming a Limited Liability Company (LLC) in New York is harder than in most states for two reasons: New York adds a mandatory newspaper publication requirement and a legally required operating agreement that most states skip. You file through the New York Department of State (DOS), Division of Corporations, not a “Secretary of State” office. The $200 filing fee is only the start. Publication alone can add hundreds or thousands of dollars depending on your county.

How Do You Form an LLC in New York?

You form a New York LLC by filing the Articles of Organization with the New York Department of State, paying the $200 fee, publishing a formation notice within 120 days, and adopting a written operating agreement within 90 days. New York adds a publication requirement and a mandatory operating agreement that most states do not require.

Follow these steps in order:

 1. Search name availability on the DOS business entity database.
 2. Pick the New York county where your office is located.
 3. File the Articles of Organization (Form DOS-1336), $200, with the New York Department of State.
 4. Publish a formation notice in two county-designated newspapers within 120 days.
 5. Adopt a written operating agreement within 90 days of filing.
 6. Get an Employer Identification Number (EIN) from the IRS.
 7. Register for sales tax and obtain a Certificate of Authority if you sell taxable goods.
 8. File a Biennial Statement with DOS every two years.

How Much Does It Cost to Form a New York LLC in 2026?

The state filing fee is $200, but the realistic all-in first-year cost runs roughly $550 to $2,250+ because of the publication requirement. New York County (Manhattan) publication can cost $1,000 to $2,000+, while upstate counties can cost under $300. The table below shows every common cost with its source.

DBA means doing business as, an assumed business name. Verify current expedited and filing amounts on dos.ny.gov before you file, since fee schedules change.

Does New York Use a “Certificate of Formation”?

No. New York’s formation document is the Articles of Organization (Form DOS-1336), filed under Limited Liability Company Law §203 with the New York Department of State. “Certificate of Formation” is Delaware’s term, not New York’s. If you have seen “Certificate of Formation” tied to a New York LLC, it is wrong, and it usually comes from Delaware guidance being reused for the wrong state.

How Do You Check New York LLC Name Availability?

Search the New York Department of State Corporation and Business Entity Database before you file. The search costs nothing to browse, though a formal $5 name-availability search is available. Only the actual filing confirms your name. You can also run a quick company name check with Commenda while you plan.

New York naming rules:

 • The name must include “Limited Liability Company,” “LLC,” or “L.L.C.”
 • The name must be distinguishable from existing entities on the DOS database.
 • Restricted words like “bank,” “trust,” “insurance,” and “education” require agency approval.
 • The name cannot imply government affiliation or mislead the public about purpose.

Do You Need a Registered Agent for a New York LLC?

No separate registered agent is required. Under Limited Liability Company Law §301, the New York Secretary of State is the statutory agent for service of process for every New York LLC by default, and you cannot opt out. You list a forwarding address in the Articles of Organization, and that address becomes public record.

That public-record exposure is the real reason many owners hire a commercial registered agent for roughly $100 to $300 per year. Home-based businesses and non-residents use one to keep a home address off public records and to get faster document handling. It is a privacy and convenience choice, not a legal mandate.

How Do You File the New York Articles of Organization?

File Form DOS-1336 with the New York Department of State, Division of Corporations, with the $200 fee. The fastest route is online through New York Business Express. You can also mail the form to the NY Department of State, Division of Corporations, One Commerce Plaza, 99 Washington Avenue, Albany, NY 12231.

The Articles must include:

 • The LLC’s legal name, including “Limited Liability Company,” “LLC,” or “L.L.C.”
 • The New York county where the office is located.
 • The DOS forwarding address for service of process.
 • The organizer’s signature with name and address.

Expedited processing is available for an added fee: $25 for 24-hour, $75 for same-day, and $150 for 2-hour handling (NY DOS, Expedited Handling Services). See the cost section above for the full fee picture; the $200 is not the total.

What Is the New York LLC Publication Requirement and How Much Does It Cost?

Within 120 days of formation, you must publish a notice in two newspapers (one daily, one weekly) designated by the county clerk, once a week for six consecutive weeks, then file a Certificate of Publication with DOS plus a $50 fee. This is required under Limited Liability Company Law §206. Cost is driven almost entirely by county.

County typeTypical publication costSource
New York County (Manhattan)$1,000 to $2,000+Estimated from Manhattan newspaper rates
Outer boroughs / suburban~$300 to $900Estimated from county newspaper rates
Upstate / rural countiesUnder $300Estimated from county newspaper rates

The $50 Certificate of Publication filing fee is separate from the newspaper charges and is set by the NY Department of State.

What Happens If You Skip It?

Your LLC’s authority to carry on business in New York is suspended, not dissolved. The LLC still exists, but it cannot legally conduct business until you publish and file the Certificate of Publication. This is a common misconception: non-compliance suspends authority under LLC Law §206, it does not terminate the entity.

How Does County Choice Affect Cost?

The county you list controls which newspapers you must use, and that can swing publication cost by more than $1,500. The county must genuinely be where your office is located. Home-based and small businesses often have some flexibility in that determination. Treat county selection as a cost consideration, not legal advice, and confirm your facts before you file.

Is an Operating Agreement Required for a New York LLC?

Yes. New York requires a written operating agreement under Limited Liability Company Law §417, adopted before, at, or within 90 days after filing the Articles of Organization. It is an internal document, never filed with the state. No active penalty mechanism enforces it, but it remains legally required and is critical for liability protection and member disputes.

A strong operating agreement should define:

 • Ownership percentages and membership interests.
 • Profit and loss allocation.
 • Voting rights and decision-making.
 • Management structure, member-managed or manager-managed.
 • Member admission, departure, and buyout procedures.
 • Dissolution procedures.

How Do You Get an EIN for a New York LLC?

The Internal Revenue Service (IRS) issues an Employer Identification Number (EIN) free of charge. The online EIN application is instant but requires a responsible party with a Social Security Number (SSN) or Individual Taxpayer Identification Number (ITIN). You need an EIN for a business bank account, hiring, and most tax filings, and it is mandatory for multi-member LLCs.

How Do You Get an EIN Without an SSN?

Non-US residents get an EIN without an SSN or ITIN by filing Form SS-4 by fax or mail, not online, and writing “Foreign” in the SSN/ITIN field. Fax processing takes about four business days, while mail takes four weeks or more, per IRS guidance. There is no US residency or visa requirement to own a New York LLC.

Does New York Require a Business License for LLCs?

No single statewide general business license exists in New York. Requirements depend on your industry and locality. Most LLCs face one or more of three categories below, and licensed professionals such as doctors, lawyers, and accountants must form a Professional Limited Liability Company (PLLC) rather than a standard LLC.

 • State-level professional licenses for regulated fields like contracting, real estate, and health services.
 • Local permits, including those from the New York City Department of Consumer and Worker Protection (NYC DCWP) for New York City businesses.
 • A sales tax Certificate of Authority from the New York Department of Taxation and Finance, required before making taxable sales. It is free, and you should register at least 20 days before starting sales. Use the Commenda sales tax calculator to confirm the rate you must charge.

What Are the Ongoing Compliance Requirements for a New York LLC?

Two recurring obligations apply. The Biennial Statement costs $9 and is filed with DOS every two years in your formation anniversary month. The annual filing fee runs $25 to $4,500 based on New York-source gross income and is paid to the Department of Taxation and Finance. Late payment triggers interest and penalties.

A Commenda compliance calendar tracks both deadlines so neither slips.

Can You Form a New York LLC From Out of State or as a Non-US Resident?

Yes. New York has no residency requirement, so out-of-state and non-US owners can form a domestic New York LLC directly. The practical differences are address, EIN, and banking. The DOS forwarding address is public record, so most non-residents use a registered agent service for a New York address and privacy.

Non-residents get an EIN by filing Form SS-4 by fax or mail without an SSN, writing “Foreign” in the SSN/ITIN field, as covered in the EIN section above. US bank account setup usually happens after the entity exists and the EIN is issued. New York is strict about requiring a responsible party with a US SSN on EIN filings, so plan this step early.

How Do You Register a Foreign LLC in New York?

An LLC formed in another state that does business in New York registers by filing an Application for Authority with the New York Department of State; it does not form a new LLC. The filing fee is $250, and you must attach a Certificate of Existence or Good Standing from the home state. Verify the current fee and requirements on dos.ny.gov before filing.

Foreign LLCs are also subject to New York’s publication requirement after qualifying. Many out-of-state owners do not expect this, so budget for publication cost on top of the $250 application fee.

Should You Form Your LLC in New York or Delaware?

If you operate in New York, form in New York. A Delaware LLC doing business in New York must still register as a foreign LLC and still faces the publication requirement, so the “Delaware escape” usually costs more, not less. Delaware makes sense mainly for fundraising-track startups seeking investor familiarity. For a business physically operating in New York, it adds cost and complexity.
