Sweden master file and local file requirements (2026)

Sweden keeps transfer pricing documentation rather than filing it. Exemption limits, return-date deadlines and the 40% surcharge, for 2026.

Sweden has no transfer pricing return, no disclosure form and no filing date. What it has instead is a readiness date, your own tax return date, and a surcharge that lands years later if the file behind your numbers was never built.

The four facts to know:

  • Documentation is kept, not filed, and produced only when the tax agency asks for it.
  • A group is exempt where it has fewer than 250 employees and either turnover of SEK 450 million or less or a balance sheet total of SEK 400 million or less.
  • Transactions with one foreign related company below SEK 5,000,000 a year need not go in the local file, with intangibles the exception.
  • There is no documentation-specific penalty. An adjustment from incorrect return information carries a tax surcharge of generally 40% of the additional tax.

What transfer pricing documentation does Sweden require?

A master file and a local file, above the exemption for small and medium-sized groups, held by the taxpayer and produced on request. The Swedish Tax Agency's transfer pricing guidance[1] sets out both, and the content follows the standard group and entity templates with no Swedish additions. A foreign parent's existing English master file generally satisfies the Swedish requirement without rework.

The current three-tier regime has applied to financial years beginning after 31 March 2017. The arm's length principle behind it is far older.

Who is exempt, and which transactions are too small to document?

The exemption is a group-level size test, measured for the year before the tax year. Headcount is an AND condition. The two financial limits are an OR, so passing either one of them is enough once the headcount test is met.

Use arrow keys to navigate cells. Enter edits or opens a row group. Escape cancels editing. Tab leaves the grid.

Inside the regime, a second filter applies to the local file. Transactions with a given foreign related company are always treated as unimportant, and need not be documented, where their combined value for the financial year is below SEK 5,000,000. The carve-out does not reach intangible asset transfers or licensing, unless the intangibles themselves are unimportant to the business. A simplified approach for low value-adding intra-group services is also available.

When is Sweden transfer pricing documentation due?

There is no filing, so there is no filing deadline. What there is instead is a readiness date: the master file by the parent's income tax return date, the local file by the Swedish company's own return date. Sweden's company return deadline staggers by financial year-end month and filing method.

Use arrow keys to navigate cells. Enter edits or opens a row group. Escape cancels editing. Tab leaves the grid.

Return for a year end from July to August 2026File by 1 April 2027Skatteverket
Return for a year end from September to December 2026File by 2 August 2027Skatteverket

This is where groups come unstuck. Nothing is due during the year, so nothing prompts anyone, and the documentation still has to exist by the return date, ready to hand over if asked.

What language can the documentation be in?

Swedish, Danish, Norwegian or English, all accepted. A foreign parent can usually reuse its English master file unchanged, which is more generous than the jurisdictions that demand the local language. The currency treatment is not confirmed from the tax agency's own guidance, so this page does not state one.

What are Sweden's country-by-country reporting rules?

Reporting applies to groups with consolidated revenue of at least SEK 7 billion. The report must reach the tax agency no later than 12 months after the end of the reported fiscal year, filed electronically in XML. The threshold is a fixed figure and is not scaled for a short fiscal year.

The notification runs earlier and catches people out. Every Swedish company in a qualifying group must say which group entity files the report and in which jurisdiction, before the end of the reported fiscal year. That is inside the year being reported on, not after it.

What are the penalties for getting Sweden transfer pricing wrong?

There is no standalone penalty for missing or inadequate documentation. The exposure is the tax surcharge that follows an adjustment, and it is substantial.

Country-by-country non-complianceReported figures range from SEK 15,000 to SEK 1,250,000, not confirmed against the tax agency's own guidanceNot confirmed

The reduced 10% rate is narrower than it looks. It covers a wrong-year misallocation, not a pricing dispute. The route to the surcharge runs through the correction rule in the Swedish income tax legislation[6], which lets the tax agency recalculate a Swedish entity's result to what independent parties would have agreed and tax the difference. Adequate documentation is the practical defence against both.

Can you get an advance pricing agreement in Sweden?

Yes, but bilateral and multilateral only. Sweden offers no unilateral option, and a tax treaty with the other country is required. Agreements usually cover three to five tax years. The fee is SEK 150,000 per country covered for a new application and SEK 100,000 for a renewal.

How do Sweden's rules differ from the OECD baseline?

Sweden follows the OECD guidelines largely, with four differences worth naming before you reuse a group position.

  • The exemption is set against group size in kronor, not against a transaction line.
  • Documentation is accepted in four languages.
  • There is no standalone documentation penalty.
  • Advance pricing agreements are bilateral or multilateral only.

Everything else tracks the standard: the three-tier model, a SEK 7 billion reporting threshold aligned to the EUR 750 million benchmark, the 12-month filing window and the year-end notification.

How we help with Sweden transfer pricing

A kept-not-filed regime is easy to let slide, because nothing ever lands in an inbox asking for it. We prepare the master file and the local file, run the benchmarking behind the arm's length range, and have both finished by your return date rather than after a question arrives.
