Portugal measures the documentation threshold on the Portuguese entity alone, not on the group. A small subsidiary of a very large group can sit outside it, and a mid-sized standalone Portuguese business can sit inside it.
The four facts to know:
- A master file and a local file are required once the Portuguese entity's total net sales and other income reach EUR 10 million in the tax period.
- Both have to be ready by the 15th day of the 7th month after the fiscal year end, so 15 July 2026 for a 31 December 2025 close.
- A separate transfer pricing return reports every controlled transaction above EUR 100,000 per type and counterparty.
- Failing to present the files costs EUR 500 to EUR 10,000, and that fine then grows by 5% for every day of delay.
What are Portugal's transfer pricing documentation rules?
Portuguese entities and permanent establishments over the threshold prepare both files, in Portuguese, by the 15th day of the seventh month after the fiscal year end. The OECD transfer pricing country profile for Portugal[1], updated in October 2025, records the deadline and the language rule. Whether the files are lodged with the tax authority or only held and produced on request is not confirmed, so prepare them on time either way.

What goes in the Portugal master file and local file?
The master file is the group level document: the organisational structure, the business descriptions, the intangibles, the intercompany financing and the group's financial and tax positions. The ministerial order that sets the EUR 10 million threshold[3] imports the OECD structure for it, so a parent's existing group master file can serve the Portuguese obligation where its content and its language line up.
The local file is the entity level dossier: the Portuguese entity's controlled transactions, the functional analysis, the method chosen and the comparables behind it. It carries the same threshold and the same deadline as the master file, so there is one date to work to and two documents to have finished by it.

Does Portugal require country-by-country reporting?
Yes, for groups with consolidated revenue of EUR 750 million or more in the prior period. The tax authority publishes the threshold and the notification rule[4]. The report itself is due 12 months after the group's year end.
The notification is earlier and easy to miss. Each Portuguese group entity or permanent establishment notifies the authority electronically by the corporate tax return deadline, the end of the fifth month after the fiscal year end, saying either that it is the reporting entity or naming that entity and its country of tax residence.
When are Portugal's transfer pricing deadlines for 2026?
Four dates against the fiscal year end, three of them on the same day. For a 31 December 2025 year end the files and the return fall due on 15 July 2026, and the country by country notification falls at the end of May 2026.

| Obligation | Deadline for 2026 | Source |
|---|---|---|
| Master file and local file | 15th day of the 7th month after the fiscal year end | OECD |
| Transfer pricing return inside the annual corporate information filing | 15th day of the 7th month after the fiscal year end | OECD |
| Country by country notification | End of the 5th month after the fiscal year end | Autoridade Tributária e Aduaneira, Portugal |
| Country by country report | 12 months after the fiscal year end | Autoridade Tributária e Aduaneira, Portugal |
What language must Portugal transfer pricing documentation be in?
Portuguese, with other working languages accepted on request. A foreign parent holding an English master file can usually use it, but the request route runs one way: you ask, and the authority decides. Be ready to produce a Portuguese translation if the answer is no.
Arrange the translation capacity before the deadline rather than after a request lands. The practical risk is a short response window on a document that exists only in English.
What are the penalties for getting Portugal transfer pricing wrong?
Fixed bands under the general tax infringements regime, from hundreds to tens of thousands of euros, with one of them growing daily. The daily uplift is the part that matters: a late presentation turns a fixed fine into a moving one.

| Infringement | Penalty for 2026 | Source |
|---|---|---|
| Failing to present the master file, the local file or the country by country report | EUR 500 to EUR 10,000, plus 5% of the fine for each day of delay | OECD |
| Failing to file the transfer pricing return | EUR 500 to EUR 10,000 | OECD |
| Inaccuracies in the documentation, the return or the country by country report | EUR 375 to EUR 22,500 | OECD |
What is a parent company exposed to in Portugal?
The Portuguese subsidiary carries the obligation, but an adjustment reprices the group's intercompany flows, so the cost and the double taxation risk travel back to the parent. The arm's length rule requires related party terms to be substantially identical to those agreed between independent entities, which is the standard the adjustment is measured against.
The window is four years. The tax authority can reopen and adjust transfer pricing across a four year limitation period, so documentation has to stay defensible for four filing years at once rather than only for the one you are working on.
How does Portugal differ from the OECD baseline?
Portugal follows the OECD Guidelines largely and uses the standard master file and local file structure and the standard EUR 750 million country by country threshold. Three national specifics sit on top. There are no general safe harbours, so every in-scope transaction is tested. Amount B of the OECD simplification framework is under assessment and has not been adopted. The related party threshold is 20%, below the level most groups screen at.
Advance pricing agreements are available in unilateral, bilateral and multilateral form, for a term of up to four fiscal years, under the ministerial order setting the agreement procedure[5]. An agreement can reach back over years already filed, as long as no more than two years have passed since their filing deadline. The fees are not confirmed.
How we help with Portugal transfer pricing
Portugal puts the files, the return and the notification on three dates inside five months, and the threshold is measured on the Portuguese entity rather than on the group, so the answer changes year to year. We test the entity against the threshold, build the benchmarking and the functional analysis, write both files in Portuguese and prepare the transfer pricing return behind them. See how our transfer pricing software works.
