Panama has no size threshold. A single related-party transaction puts you inside the regime, the annual return falls six months after the year end, and there are no extensions and no corrections afterwards.
The four facts to know:
- The annual transfer pricing return is due within 6 months of the fiscal year end. For a 31 December year end that is 30 June.
- Missing it, filing it late or filing it wrong costs 1% of your related-party transactions, capped at B/. 1,000,000.
- There is no minimum transaction size for the return or for the local file study. Any in-scope related-party transaction triggers both.
- The study is kept rather than filed, and produced within 45 business days of a request. All of it has to be in Spanish.
Who do Panama's transfer pricing rules apply to?
Any taxpayer whose related-party transactions affect the Panamanian tax base. Two parties are related where one participates, directly or indirectly, in the management, control or capital of the other, with no percentage test at all. That reaches a great deal more than a parent and its majority-owned subsidiary.
Panama taxes on a territorial basis, so only Panama-source income is in charge, and the arm's length rule bites wherever a related-party transaction touches that base. Scope covers cross-border related parties and related local parties in the special economic zones. The Dirección General de Ingresos sets the scope out[1], and entities in the Colon Free Zone or the multinational headquarters regime are not automatically outside it.
Do I need a master file in Panama?
Yes, whenever related parties carry out economic activities with each other. It is a retain-and-produce obligation rather than an annual filing, so nothing goes in until the tax office asks. The OECD country profile for Panama[2], updated in February 2022, is the source for the requirement. It gives 45 business days for producing documentation on request, and states no separate preparation period for the master file.
The revenue threshold for the master file is not confirmed. The profile states none in the legal text and our dataset flags the field as unverified, so no number is given here.
What are Panama's local file requirements?
Panama's local file is the transfer pricing study. Its content runs to roughly twenty required items: the functional analysis, the comparability analysis, the method chosen and the reasoning behind it, and the financial information. The 2016 executive decree on the tax office's site[3] sets the list.
The study is kept, not filed, and it must already be available on the day the annual return goes in. On request it has to be produced within 45 business days. Everything is written in Spanish, so a group file prepared in English does not satisfy Panama without translation. There is no monetary threshold for the study at all.

What is Form 930 and who must file it?
Form 930 is Panama's annual informative transfer pricing return. It is filed electronically through the tax office's online system within six months after the fiscal period closes. No extensions are granted and no amended filing is permitted, so a mistake on it cannot be corrected later. The tax office publishes the filing route and the penalty[4].
Keep the two documents apart in your head. Form 930 is filed. The study is kept and produced only on request. Every taxpayer with in-scope related-party transactions files Form 930, whatever the size of those transactions. The form's content has been amended twice, in 2018 and in 2020, and the tax office keeps the compilation of transfer pricing texts[5] that records the changes.
Does Panama require country-by-country reporting?
Yes, since 2019, and entity-level notification goes with it. The tax office publishes the notification procedure[6]. Panama has the regime because it is a member of the OECD Inclusive Framework on base erosion and profit shifting, not because it is an OECD member.
The threshold is EUR 750 million of consolidated group revenue. The filing deadline is not confirmed: the decree published on the tax office site is a scanned image we could not read, so this page does not state a date. Confirm it with your Panamanian adviser rather than taking a figure from a secondary guide.
What are Panama's transfer pricing thresholds?
There is only one number in the whole regime, and it belongs to country-by-country reporting. Everything else starts at the first transaction.

| Obligation | Threshold | Source |
|---|---|---|
| Form 930 return | None. Any in-scope related-party transaction triggers it | Dirección General de Ingresos, Panama |
| Local file, the transfer pricing study | None stated | OECD |
| Master file | Not confirmed | OECD |
| Country-by-country reporting | EUR 750 million of consolidated group revenue | OECD |
When are Panama's transfer pricing deadlines?
One hard calendar date and two request-driven windows. The hard date is the one that carries the penalty.

| Obligation | Deadline | 31 December year end | Source |
|---|---|---|---|
| Form 930 filing | Within 6 months after the fiscal year end, no extensions | 30 June | Dirección General de Ingresos, Panama |
| Local file, the transfer pricing study | Within 45 business days of a request | On request | OECD |
| Master file | On request. The profile gives 45 business days for producing documentation | On request | OECD |
| Country-by-country filing | Not confirmed | Not confirmed | Dirección General de Ingresos, Panama |
What language and currency do Panama transfer pricing documents require?
Spanish, for all of it. Supporting material held in another language should be ready to translate on request, and a group master file written in English will need a Spanish version before it is handed over.
The presentation currency is not confirmed. Our dataset carries no verified rule, so this page does not assert balboas or US dollars. The only currency fact we can state is that the penalty cap is expressed in balboas.
What are the penalties for Panama transfer pricing non-compliance?
One penalty, and it is calculated on volume rather than on tax. Failing to file the annual return, filing it late or filing it incorrectly costs 1% of the total related-party transactions reported in the income tax return, capped at B/. 1,000,000. A group with large intercompany flows and little Panamanian tax can therefore owe a penalty many times the tax at stake.

| Trigger | Penalty | Cap | Source |
|---|---|---|---|
| Form 930 not filed, filed late or filed incorrectly | 1% of total related-party transactions in the income tax return | B/. 1,000,000 | Dirección General de Ingresos, Panama |
No separate documentation penalty is confirmed beyond this one.
What is a foreign parent exposed to in Panama?
The exposure runs through the Panamanian subsidiary and then back up. A missed return creates the 1% penalty locally. The master file and the country-by-country notification put group-level information in the tax office's hands, which is how a local review becomes a group conversation.
A study produced late, or not at all, shifts the ground in an adjustment, because the tax office can then rely on its own comparables rather than yours. The territorial system is not a shield: a transaction booked offshore is still in scope where it affects the Panamanian tax base.
How does Panama differ from the OECD baseline?
Panama is not an OECD member. It is an Inclusive Framework member, and the OECD guidelines are the main interpretive source, with the comparability chapter largely followed. Four differences change how you build the file.

| Feature | Panama position | Source |
|---|---|---|
| Method hierarchy | Comparable uncontrolled price, resale price and cost plus come first, then net margin or profit split | Dirección General de Ingresos, Panama |
| Comparables | Domestic comparables take priority over foreign ones | Dirección General de Ingresos, Panama |
| Advance pricing agreements | None. The mutual agreement procedure is available under treaties | OECD |
| Safe harbours | None, and no simplification measures | OECD |
That combination is unusually strict. There is no threshold to fall below, no safe harbour to sit in and no agreement to negotiate, so the only route to certainty in Panama is a well-built study.
How we help with Panama transfer pricing
Panama gives you one date with no second chance, and a penalty measured against intercompany volume rather than tax. We prepare the study in Spanish with domestic comparables, keep the master file ready for a 45 business day request, and file the annual return inside the six-month window.
