Search for a British Virgin Islands (BVI) LLC and you get articles describing an entity that does not exist. The BVI has no separate limited liability company (LLC) statute. What you actually register is a BVI Business Company (BC), governed by the BVI Business Companies Act, 2004 and regulated by the BVI Financial Services Commission (FSC), with filings handled through the Registry of Corporate Affairs.
The true US-style LLC in the Caribbean is the Cayman Islands LLC, not a BVI one. This guide explains what a BVI company really is, how to register one, and the taxes, substance, and compliance rules that apply. Every figure below is sourced to the BVI Business Companies Act, 2004 and other primary records.
Can You Register an LLC in the British Virgin Islands?
Not as a dedicated entity. The BVI has no Limited Liability Companies Act of any year. The BVI Business Companies Act, 2004 (Act 16 of 2004, in force 1 January 2005) is the sole corporate statute, per the BVI Business Companies Act text and the BVI Attorney General’s consolidated index of acts in force at 1 January 2026. You register a Business Company instead.
The confusion is common because the Cayman Islands does have a genuine US-style LLC. If the keyword brought you here looking for member-managed, operating-agreement governance, the real options are a BVI Business Company or a Cayman LLC, covered below.
What Is the Difference Between a “BVI LLC” and a BVI Business Company?
A “BVI LLC” is a misconception; a BVI Business Company is the real vehicle. Over 356,000 BCs sit on the Register, and no separate LLC regime exists in the BVI. The table below maps each assumption to the verified reality.
| Question | “BVI LLC” assumption | BVI reality | Source |
|---|---|---|---|

Why Register a BVI Business Company?
The BVI offers tax neutrality, 100% foreign ownership with no nationality or residency rules, a one-shareholder and one-director minimum (individuals or corporates), strong confidentiality, and an English common law system with a Commercial Court and final appeal to the Privy Council in London. That common-law foundation gives real legal predictability for holding and cross-border structures.
Tax-neutral is not tax-free. The BVI levies no local corporate tax, but owners stay taxable at home under controlled foreign company (CFC) rules, covered in the tax section.
What Are the BVI Company Naming Requirements?
A limited BVI company name must end with Limited, Corporation, Incorporated, Societe Anonyme, Sociedad Anonima, or the abbreviations Ltd, Corp, Inc, or S.A., per Section 17 of the BVI Business Companies Act, 2004. It cannot end in “LLC.” An unlimited company ends in Unlimited or Unltd.
Restricted words such as Bank, Insurance, and Trust require regulator consent. The name must not be identical or confusingly similar to an existing registered entity; your registered agent runs the search. You can test availability first with Commenda’s company name checker.
How Do You Register a BVI Company? Step-by-Step Process
Five steps, all filed by an FSC-licensed registered agent. Under BVI law, an incorporation application may only be made by the person who will act as the company’s first registered agent, so founders cannot file directly with the Registry of Corporate Affairs.
Step 1: Choose and clear the name
Pick a compliant name ending in an approved suffix (see the naming requirements above) and have your agent confirm it is available on the Register.
Step 2: Appoint a licensed registered agent and registered office
Only FSC-licensed company managers or trust companies may act as registered agent, per the FSC registered-agents guidance. The agent also supplies the mandatory BVI registered office address.
Step 3: Prepare the formation documents
The agent drafts the Memorandum of Association and Articles of Association and collects your know your customer and anti-money laundering (KYC/AML) due diligence pack. This due diligence is the real gating step on timing.
Step 4: File with the Registry and pay the government fee
The agent files the incorporation package electronically with the Registry of Corporate Affairs and pays the government formation fee from the current Registry fee schedule.
Step 5: Receive the Certificate of Incorporation
The Registry issues a Certificate of Incorporation confirming the company exists. It carries the company name and number, and enables you to open bank accounts and enter contracts.

What Documents Do You Need to Register a BVI Company?
You need the constitutional documents plus identity and due diligence records for everyone connected to the company:
- Memorandum of Association and Articles of Association
- Passport or ID and proof of residential address for each shareholder and director
- Beneficial ownership declarations and KYC/AML forms
- Corporate documents if a shareholder is itself a company
The Memorandum and Articles are the public constitution filed to create the company. The KYC/AML pack is held by your registered agent, not filed publicly, and sets the real timeline.
How Long Does BVI Incorporation Take?
Registration at the Registry usually completes in 1 to 3 business days once the agent submits the package. The real bottleneck is the agent’s KYC/AML due diligence beforehand, which can add days to weeks depending on how fast you return certified documents. Budget 1 to 4 weeks for the full journey, bank account aside.
How Much Does BVI Company Registration Cost?
Three layers apply: a one-time government formation fee, a recurring annual government fee, and registered agent service fees. Current government fee amounts come from the Registry of Corporate Affairs fee schedule and are set by incorporation date, so confirm live figures with your agent rather than assuming. The verified cost rows are the penalties.
| Cost layer | Who charges it | Verified figure | Source |
|---|---|---|---|
| Government formation fee | Registry of Corporate Affairs | Per current Registry fee schedule | BVI FSC |
| Annual government fee | Registry of Corporate Affairs | Per current Registry fee schedule | BVI FSC |
| Registered agent fee | Your licensed agent | Set by the agent | FSC-licensed agent |
| Late annual-return penalty | Registry | $300 first month, then $200 per further month, capped at $5,000 | BVI Business Companies (Amendment) Act, 2022%20Act,%202022%20(Gazett%20August%2012%202022).pdf) |

What Taxes Does a BVI Company Pay?
A BVI company pays no corporate income tax, no capital gains tax, no withholding tax on dividends, interest, or royalties, no inheritance tax on shares, and no VAT, GST, or sales tax. Two local taxes have exceptions, shown below. For rates and residence-country context, see the BVI corporate tax guide.
| Tax | When it applies | Rate or threshold | Source |
|---|---|---|---|
| Payroll tax (Class 1) | Employers with staff physically in the BVI | 10% combined (8% employee, 2% employer) | BVI Payroll Tax Return (Form P.6) |
| Payroll tax (Class 2) | Larger BVI employers | 14% combined (8% employee, 6% employer) | BVI Payroll Tax Return (Form P.6) |
| Class 1 qualification | N/A | Payroll up to $150,000, turnover up to $300,000, 7 or fewer employees | pbl.legal BVI taxation guide |

| Payroll filing | Monthly | Within 21 days after month-end | BVI Payroll Tax Return (Form P.6) |
| Stamp duty | BVI land transactions and shares in BVI land-owning companies | Applies to those transactions | Payroll Taxes Act, 2004 framework |
Payroll tax runs under the Payroll Taxes Act, 2004 (No. 18 of 2004). Tax-neutral is not tax-free: owners stay taxable at home under CFC rules, and Common Reporting Standard (CRS) automatic exchange ended bank secrecy.
What Are the BVI Economic Substance Requirements?
The Economic Substance (Companies and Limited Partnerships) Act, 2018 (Act 12 of 2018), in force 1 January 2019, requires BVI entities carrying on a “relevant activity” to show adequate substance in the BVI, reported annually through the Beneficial Ownership Secure Search (BOSS) system. There are nine relevant activities.
| Relevant activity | Substance intensity | Source |
|---|---|---|
| Banking business | Full test | Section 6, Economic Substance Act, 2018 |
| Insurance business | Full test | Section 6, Economic Substance Act, 2018 |
| Fund management business | Full test | Section 6, Economic Substance Act, 2018 |
| Finance and leasing business | Full test | Section 6, Economic Substance Act, 2018 |
| Headquarters business | Full test | Section 6, Economic Substance Act, 2018 |
| Shipping business | Full test | Section 6, Economic Substance Act, 2018 |
| Holding business | Reduced test for pure equity holding | Section 6, Economic Substance Act, 2018 |
| Intellectual property business | Strictest scrutiny | Section 6, Economic Substance Act, 2018 |
| Distribution and service centre business | Full test | Section 6, Economic Substance Act, 2018 |
The full test under Section 8 requires the activity to be directed and managed in the BVI, with adequate qualified employees, adequate expenditure, appropriate premises, and core income-generating activities (CIGA) conducted in the territory. Pure equity holding companies face a reduced test and satisfy it by meeting statutory filing obligations and keeping a registered agent and office. Intellectual property holding companies face the strictest scrutiny. The BVI International Tax Authority (ITA) Rules, first issued 9 October 2019 and last updated 2 April 2024, operationalize the test. Penalties start at $5,000 for a first determination and rise to $200,000 (or $400,000 for a high-risk IP entity) on a second, with strike-off risk.
What Are the Ongoing Compliance Requirements for a BVI Company?
A BVI company must keep a licensed registered agent and office, maintain accurate registers, file beneficial ownership information, pay the annual government fee, and meet post-2022 transparency rules. The BVI Business Companies (Amendment) Act, 2022 (No. 6 of 2022) took effect 1 January 2023 and added the obligations below.
| Obligation | Governing act | Deadline or trigger | Source |
|---|---|---|---|
| Registered agent and office | BVI Business Companies Act, 2004 | Continuous | BVI FSC |
| Annual financial return to registered agent | 2022 Amendment Act, s.98A | Within 9 months after year-end | laws.gov.vg |
| Register of directors filed with Registrar | 2022 Amendment Act, s.118B | Director names disclosed on request | laws.gov.vg |
| Annual government fee | Registry fee schedule | By the company’s renewal date | BVI FSC |
| Economic substance report | Economic Substance Act, 2018 | Annually via BOSS | ITA Rules |
| Beneficial ownership information | BOSS framework | On formation and kept current | BVI FSC |
| Bearer shares | 2022 Amendment Act | Auto-converted to registered shares from 1 July 2023 | laws.gov.vg |
| Court restoration window | 2022 Amendment Act | 5 years from dissolution (cut from 10) | laws.gov.vg |
How Private Is a BVI Company?
Shareholder details are not held on a freely searchable public register, and beneficial ownership sits in the secure BOSS system for BVI authorities and, on request, law enforcement. Since the 2022 Amendment Act, the Registrar must disclose the list of a company’s directors on request, though dates of birth, nationality, and addresses stay confidential.
Privacy here means confidentiality from the public, not secrecy from tax authorities. CRS automatic exchange reports account data to owners’ home tax authorities. Asset protection comes from the company’s separate legal personality and shareholders’ limited liability, not from hidden ownership.
How Do You Open a Bank Account for a BVI Company?
Submit the Certificate of Incorporation, the Memorandum and Articles of Association, identification for directors and beneficial owners, and proof of business activity. Expect enhanced due diligence because the company is offshore, and expect the process to take several weeks rather than days. Some electronic money institutions onboard BVI entities faster than traditional banks, though availability changes often.
BVI Company vs Delaware LLC: Which Should You Choose?
Delaware suits businesses operating inside the US tax system; a BVI company suits tax-neutral international holding and SPV structures for owners who want to stay outside it. The table compares the two.
| Factor | BVI Business Company | Delaware LLC |
|---|---|---|
| Governing statute | BVI Business Companies Act, 2004 (Act 16 of 2004) | Delaware Limited Liability Company Act |
| Local tax on offshore income | None | No Delaware state income tax without DE activity, but US federal filing exposure |
| Public register of owners | No public register of members | Members not public |
| Economic substance rules | Yes, under the Economic Substance Act, 2018 | None |
| US tax net | Generally outside it with no US activity | Inside the US system |
| Investor familiarity | Strong in Asia, holding, and offshore structures | US venture capital gold standard |
US tax treatment turns on “check-the-box” classification. A BVI company is a foreign eligible entity; where all owners have limited liability, the US default treats it as a corporation unless it elects otherwise on IRS Form 8832. This is US tax law, not BVI law, so get US tax advice before you file.
Is a BVI Company a Good Holding Company for Startups?
Yes for tax-neutral holding, joint venture, SPV, and fund structures, and a pure equity holding company faces only the reduced economic substance test, which it meets by keeping a registered agent, a registered office, and its statutory filings current. The honest caveats: US venture investors usually prefer a Delaware entity, and an offshore wrapper can add friction in diligence.
