Malta has no “LLC” in the US sense. The equivalent is the private limited liability company, abbreviated Ltd, governed by the Companies Act (Chapter 386 of the Laws of Malta). Foreign founders can register a Malta Ltd fully in English, with no residency requirement, and the Malta Business Registry (MBR) can complete incorporation within days once documents and capital proof are in order.

Malta joined the European Union (EU) in 2004 and adopted the euro in 2008, so a Maltese Ltd gives direct access to the EU single market and the Eurozone. That access, plus an effective tax rate that can fall to around 5%, is why international entrepreneurs choose it.

What Is an LLC in Malta?

An “LLC in Malta” is a private limited company (Ltd), the most common Maltese corporate form under the Companies Act. A private company restricts share transfers, caps membership at 50 shareholders, and cannot offer shares to the public, per Article 209 of the Companies Act (Cap. 386). A public limited company (Plc) can offer shares publicly and needs far higher capital.

Two variants matter for small founders. A single-member company has one shareholder, who must minute all agreements with the company and notify the Registrar within 14 days of a change in single-member status (Companies Act, Cap. 386). A private exempt company gets lighter obligations: it allows a corporate director in limited cases and caps debenture holders at 50, under Article 211 of the Companies Act.

Why Register a Company in Malta?

A Malta Ltd gives limited liability, an effective tax rate that can fall to around 5% through the full imputation refund system, EU and Eurozone membership, a wide treaty network, and English as an official language for all incorporation paperwork. The headline advantages:

  • Limited liability: shareholders risk only their invested capital (Companies Act, Cap. 386).
  • EU and Eurozone access: Malta joined the EU on 1 May 2004 and adopted the euro on 1 January 2008, per the European Commission.
  • Treaty network: Malta holds more than 70 double taxation agreements, which stop the same income being taxed twice across borders (Malta Tax and Customs Administration).
  • English paperwork: all filings can be done in English, removing a translation step for foreign founders.

What Are the Requirements for LLC Registration in Malta?

A Malta Ltd needs one director minimum (non-residents allowed), a company secretary who must be a natural person, two shareholders (or one for a single-member company), a registered office in Malta, and €1,164.69 minimum authorised share capital with 20% paid up (≈€232.94). The full set:

How Do You Register an LLC in Malta? Step by Step

Registration runs through six steps: reserve a name, appoint officers, draft the constitutional documents, deposit capital, file with the MBR, and pay the fee to receive the Certificate of Incorporation. Each step is below.

Step 1: Choose and Reserve a Company Name

The name must be unique, in Latin characters, and end in “Limited” or “Ltd”. Restricted words such as bank, insurance, trust, and fund need prior approval from the Malta Financial Services Authority (MFSA). You check availability and reserve the name through the MBR online system before filing.

Step 2: Appoint Directors, Shareholders, and a Company Secretary

Appoint at least one director, who need not be a Maltese resident. The company secretary is mandatory and must be a natural person, and a sole director cannot also act as secretary (Companies Act, Cap. 386, Art. 138). You need two shareholders, or one for a single-member company.

Step 3: Prepare the Memorandum and Articles of Association

The Memorandum and Articles of Association (M&A) must set out the contents required by Article 69 of the Companies Act. That includes the public or private status, the name, the Malta registered office, the objects, the authorised and issued share capital with paid-up amounts, the directors and secretary, the shareholders and their shareholding split, and the manner of representation.

Step 4: Deposit the Initial Share Capital

Deposit the minimum €1,164.69 authorised capital, with at least 20% of the nominal value of each share paid up on signing the memorandum (≈€232.94), per Article 72 of the Companies Act. The funds go into a share capital account and you obtain proof of deposit. Opening this account is the common bottleneck for non-residents, covered in the timeline section.

Step 5: Submit Incorporation Documents to the MBR

File the signed M&A, identity documents for directors, shareholders, secretary and UBOs, the BO1 beneficial ownership form, proof of capital deposit, and registered office details. Banks and the Registrar may also request due diligence documents such as proof of address and source of funds. Electronic filing is available to authorised users through the MBR portal.

Step 6: Pay the Registration Fee and Obtain the Certificate of Incorporation

Pay the MBR registration fee, which varies by authorised capital and is cheaper for electronic filing. On approval the MBR issues the Certificate of Incorporation, which confers separate legal personality on the company. See the cost section for the fee bands.

How Much Does Company Registration in Malta Cost?

The minimum electronic registration fee is €100 for a company with authorised share capital up to €1,500, the band that covers the statutory minimum. The fee rises on a sliding scale with capital, and paper filing costs more. Online filing via the MBR BAROS portal has been mandatory since 1 March 2025.

€1,501 to €5,000€210 plus €12 per €500MBR fee structure
€5,001 to €10,000€294 plus €17 per €1,000MBR fee structure
Above €2,500,000€1,900 flat (maximum)MBR fee structure

Beyond the registration fee, budget for a scaled annual return fee set by the same MBR schedule, a registered office, company secretary services, and a statutory audit. Malta requires audited financial statements for companies under the Companies Act, so audit cost applies even to small entities.

How Long Does Company Registration in Malta Take?

MBR incorporation typically completes in a few working days once compliant documents and capital proof are submitted. The real timeline risk is bank due diligence, not the registry. Malta sat on the Financial Action Task Force (FATF) grey list from June 2021 to June 2022, and the enhanced anti-money-laundering (AML) checks it introduced still slow account opening.

The FATF formally removed Malta from its list of jurisdictions under increased monitoring on 17 June 2022, after Malta completed its action plan, per the FATF June 2022 statement. Registration can be fast, but a corporate bank account for a non-resident founder can take weeks to months, so treat incorporation speed and operational readiness as separate timelines.

How Does Malta’s 5% Effective Corporate Tax Work?

Malta taxes company profits at a flat 35%, but the full imputation system plus a shareholder refund brings the effective rate to around 5% on distributed trading income. Under full imputation, the tax the company pays is imputed as a credit to shareholders, which avoids a second layer of tax at shareholder level, per the Commissioner for Revenue.

The refund is paid to the shareholder after the company pays the full 35% and distributes the dividend, so it is a net result rather than a rate you pay directly. Companies incorporated and managed in Malta are taxed on worldwide income, while foreign companies are taxed on Malta-source income only. Refund claimants are expected to maintain genuine economic substance in Malta.

What Taxes Does a Malta Ltd Pay After the Corporate Tax?

Beyond corporate tax, a Malta Ltd charges value added tax (VAT) at a standard 18%, with reduced rates of 7% and 5% for specific supplies. If it hires, employer and employee social security contributions each run at roughly 10% of gross salary.

What Happens After You Register a Company in Malta?

Incorporation is not the finish line. A new Malta Ltd still has to register for tax before it trades or hires. The checklist:

  • Obtain a tax identification number (TIN) from the Malta Tax and Customs Administration.
  • Register for VAT where applicable, under Article 10, 11, or 12 depending on turnover and activity.
  • Register as an employer with a PE number (payroll registration) and with Jobsplus before hiring.
  • Open an operating bank account, separate from the share capital deposit account.

What Are the Annual Compliance Requirements for a Malta Company?

Every Malta Ltd files an annual return to the MBR within 42 days of its anniversary date, approves financial statements within 10 months of the financial year end, and keeps UBO records current. A UBO is any individual owning or controlling 25% plus one share, filed via the Companies Act (Register of Beneficial Owners) Regulations, S.L. 386.19.

The BO1 form is filed at incorporation, with BO2 and BO3 for changes and annual confirmation. Public access to the UBO register was restricted after the Court of Justice of the European Union (CJEU) ruling in the WM and Sovim cases in November 2022, and access is now limited to competent authorities and legitimate-interest requesters. Late filing of the annual return triggers penalties that accrue with the delay.

Can Non-Residents Register a Company in Malta?

Yes. Malta allows 100% foreign ownership, directors and shareholders need no Maltese residency, and the whole process runs in English. The only hard local requirement is a registered office in Malta. The practical friction is bank due diligence, where non-resident founders must provide certified identity, proof of address, and source-of-funds documents, which is why account opening runs longer than registration itself.
