A Singapore founder who wants an Indian entity hits three walls fast: the India-resident director rule, Foreign Exchange Management Act (FEMA) reporting, and the apostille chain for every signed document. The path is well worn. India-Singapore bilateral trade reached US$35.6 billion in 2023-24, per the Ministry of External Affairs. Singapore sent US$11.774 billion of foreign direct investment (FDI) into India that year, its largest single source, per the same brief.
Two treaties frame the corridor. The India-Singapore Comprehensive Economic Cooperation Agreement (CECA) entered into force on 1 August 2005 and gives tariff concessions plus services market access, per the Ministry of External Affairs. The India-Singapore Double Taxation Avoidance Agreement (DTAA), updated by the Third Protocol signed 30 December 2016, caps withholding tax on royalties and fees for technical services at 10% under Article 12, per the Income Tax Department.
Can You Register a Company in India from Singapore?
Yes. A Singapore company or individual can own up to 100% of an Indian private limited company (Pvt Ltd) under the automatic FDI route in most sectors, with no prior Reserve Bank of India (RBI) approval. The whole process runs online through the Ministry of Corporate Affairs (MCA) SPICe+ form (Simplified Proforma for Incorporating Company Electronically Plus). The only hard local requirement is one India-resident director.
Which Business Structure Should Singapore Founders Choose in India?
A Pvt Ltd subsidiary suits almost every Singapore founder who plans to scale or raise capital. A Limited Liability Partnership (LLP) fits low-capital services businesses in fully liberalized sectors. A branch office suits only established corporates with narrow activity needs. A liaison or project office cannot earn income in India.
| Factor | Pvt Ltd | LLP | Branch Office | Liaison / Project Office | Source |
|---|---|---|---|---|---|
| Separate legal entity | Yes | Yes | No (extension of parent) | No | Companies Act 2013 |
| Best for | Scaling, funded startups | Low-capital services firms | Established corporates | Representation / single contract | N/A |
| Foreign ownership | Up to 100% | Up to 100% in eligible sectors | Parent-owned | Parent-owned | FEMA NDI Rules 2019 |
| FDI route | Automatic, up to 100% in most sectors | Automatic only in 100%-automatic sectors with no performance conditions | RBI approval under FEMA | No FDI, no income permitted | FEMA NDI Rules 2019 |
| Permitted activities | Any lawful object | Any lawful object in eligible sectors | Export/import, consultancy, IT, technical support, representing the parent; no retail, no manufacturing outside SEZs | Liaison: representation only; Project: one awarded contract | RBI Master Direction on BO/LO/PO |
| Compliance load | High | Moderate | Moderate-High | Low-Moderate | Companies Act / FEMA |
| Raise VC/PE funding | Easiest | Hard | No | No | N/A |
| Resident director or representative | One resident director | One resident designated partner | Authorised representative in India | Authorised representative | Companies Act 2013, s.149(3) |
What can a branch office in India actually do?
A branch office may undertake only specified activities under the RBI Master Direction on BO/LO/PO: export and import of goods, professional and consultancy services, research in the parent’s field, promotion of technical and financial collaboration, IT and software development, and technical support for the parent’s products. It cannot do retail trading or manufacturing outside a Special Economic Zone (SEZ). A liaison office handles representation only, with expenses met by inward remittance. A project office executes a single awarded contract.
How Do You Register a Company in India from Singapore: Step-by-Step Process?
The process runs in one online flow through the MCA SPICe+ form, which bundles name reservation, director IDs, incorporation, and tax registrations. India registers companies centrally, but your registered-office state sets stamp duty, Goods and Services Tax (GST) registration, and local compliance. Expect a linked sequence from digital signatures to the certificate of incorporation.
| Step | What happens | Who issues | Typical time |
|---|---|---|---|
| 1. Structure and state | Pick Pvt Ltd/LLP/branch and the registered-office state | Founder | N/A |
| 2. Digital Signature Certificate (DSC) | Each director gets a DSC to sign MCA filings | Certifying Authority | ~1 day |
| 3. Name reservation | Reserve a name via SPICe+ Part A or RUN (Reserve Unique Name), fee Rs 1,000 | MCA | 2-3 working days |
| 4. Director Identification Number (DIN) | DIN for up to 3 first directors is issued through SPICe+ | MCA | At incorporation |
| 5. SPICe+ Part B + e-MoA/e-AoA | File incorporation with Memorandum and Articles of Association (INC-33/34) and apostilled foreign signatures | Registrar of Companies (RoC) | 7-10 working days |
| 6. PAN, TAN, GST | Permanent Account Number (PAN) and Tax Deduction and Collection Account Number (TAN) allotted via the linked AGILE-PRO-S form; GST optional | Income Tax Dept / NSDL | With the COI |
| 7. Certificate of Incorporation (COI) | COI issued carrying the Corporate Identification Number (CIN), PAN, and TAN | Registrar of Companies | On approval |
DIN is issued at incorporation through SPICe+, not as a separate prior application. Name reservation runs through SPICe+ Part A or the RUN service at Rs 1,000 per the MCA fee rules. You can pre-check availability with Commenda’s company name checker before filing. The commencement-of-business declaration comes after the COI and is covered below.

What Documents Do You Need to Incorporate a Company in India from Singapore?
From the Singapore side you need passport copies and address proofs for each foreign director, plus the parent company’s constitutional documents and a board resolution, all apostilled in Singapore. From the India side you need registered-office address proof and the resident director’s PAN and address proof.
| Document | Who provides | Legalization needed |
|---|---|---|
| Passport copy | Each foreign director | Notarize, then apostille |
| Address proof (bank statement/utility bill) | Each foreign director | Notarize, then apostille |
| Certificate of incorporation + charter | Singapore parent | Notarize, then apostille |
| Board resolution naming a signatory | Singapore parent | Notarize, then apostille |
| Registered-office proof + owner NOC | India entity | None (local) |
| PAN and address proof | Resident director | None (local) |
Singapore acceded to the Hague Apostille Convention, in force for Singapore since 16 September 2021. The Singapore Academy of Law (SAL) is the designated competent authority and issues apostilles, which replace consular legalization for documents used in India, a Convention member too. Notarize first, then apostille. If you have no office in India, a compliant virtual registered address satisfies the office-proof requirement.
Do You Need an Indian Resident Director?
Yes. Section 149(3) of the Companies Act 2013 requires every Indian company to have at least one director who stays in India for at least 182 days in the financial year. An LLP needs one resident designated partner. Your options are to hire a local director, relocate a founder long enough to qualify, or engage a professional nominee director service.
A nominee resident director carries the same statutory duties and liabilities as any other director. The nominee can be an “officer in default” under the Companies Act, so compliance penalties attach personally, and MCA recognizes no reduced-liability nominee category. The nominee needs a DIN and files annual DIR-3 KYC. Reputable providers therefore take non-executive roles with indemnities and a defined scope, and banks still expect the resident director present for account opening.
What Are the FEMA and FDI Rules for a Singapore Parent Company?
Most sectors allow 100% FDI under the automatic route with no prior approval, but every share allotment to the Singapore parent must be reported to RBI, and a handful of sectors carry caps or government-route approval. FDI is the foreign capital the Singapore parent injects into the Indian entity.
Form FC-GPR, the RBI’s foreign-currency share-allotment report, must be filed on the RBI FIRMS portal within 30 days of share allotment, per the RBI Master Direction on reporting under FEMA. The company also files the Annual Return on Foreign Liabilities and Assets (FLA) by 15 July each year. Late FC-GPR filing attracts RBI’s Late Submission Fee, and unregularized delays are FEMA contraventions subject to compounding under FEMA 1999.
| Sector | FDI cap | Route | Source |
|---|---|---|---|
| Telecom | 100% | Automatic | DPIIT Consolidated FDI Policy |
| Insurance | 100% | Automatic (premium invested in India) | PIB, Union Budget 2025-26 |
| Defence | 74% | Automatic (beyond via government route) | DPIIT Press Note 4 (2020) |
| Brownfield pharmaceuticals | 74% | Automatic (beyond via government) | DPIIT Consolidated FDI Policy |
| Multi-brand retail trading | 51% | Government route | DPIIT Consolidated FDI Policy |
| Print media (news) | 26% | Government route | DPIIT Consolidated FDI Policy |
The Department for Promotion of Industry and Internal Trade (DPIIT) sets these in its Consolidated FDI Policy. The insurance cap rose from 74% to 100% in the Union Budget 2025-26 for companies that invest the entire premium in India.
Should You Use a Singapore Holding Company for Your Indian Entity?
Yes for most funded startups. Singapore is the standard holding jurisdiction for India because of the CECA/DTAA treaty position and investor familiarity, and a Singapore parent owning an Indian Pvt Ltd is a plain FDI transaction.
The structure draws RBI scrutiny when an Indian resident sets up or controls the Singapore entity that invests back into India. Under RBI’s Overseas Investment Rules 2022, a person resident in India may invest in a foreign entity that has an Indian subsidiary only if the overall structure has no more than two layers of subsidiaries. The Indian resident’s outbound investment is Overseas Direct Investment (ODI) with its own filings, and resident individuals are further capped by the Liberalised Remittance Scheme (LRS) at USD 250,000 per financial year.
How Long Does Indian Company Incorporation Take from Singapore?
Expect 2 to 4 weeks end to end from Singapore, with SPICe+ approval itself typically 7 to 10 working days once documents are complete. Apostille and courier of Singapore documents is the usual long pole.
| Stage | Typical time | Source |
|---|---|---|
| Notarization + apostille in Singapore | 1-3 working days | Singapore Academy of Law |
| DSC issuance | ~1 day | MCA Certifying Authorities |
| Name reservation (SPICe+ Part A / RUN) | 2-3 working days | MCA |
| SPICe+ processing by the RoC | 7-10 working days | MCA guidance |
| PAN/TAN allotment | With the COI | Income Tax Dept |
| Bank account opening | 1-3 weeks | Bank dependent |
How Much Does It Cost to Register a Company in India?
MCA charges zero incorporation fee through SPICe+ for companies with authorized capital up to Rs 15 lakh under the Companies (Incorporation) Rules. Real costs are name reservation, DSCs, state stamp duty, apostille, professional fees, and the resident director arrangement.
| Item | Amount | Source |
|---|---|---|
| SPICe+ filing fee | Rs 0 up to Rs 15 lakh authorized capital | MCA Companies (Incorporation) Rules |
| Name reservation | Rs 1,000 | MCA fee rules |

| PAN and TAN (AGILE-PRO-S) | Nominal | NSDL/Protean schedule |

Stamp duty is state-specific and charged on the AoA and authorized capital. Delhi levies 0.15% of authorized capital on the AoA per the MCA e-stamp schedule; Maharashtra, Karnataka, and Tamil Nadu each apply their own scheduled rates from the same table.
What Are the Compliance Requirements After Incorporating in India?
An Indian Pvt Ltd owned from Singapore carries both Companies Act compliance and FEMA reporting from day one. The first deadline lands within 30 days (auditor appointment), and the commencement declaration is due within 180 days.

| First auditor appointment | ADT-1 | 30 days | Companies Act, s.139 |
| First board meeting | N/A | 30 days of incorporation | Companies Act |

Form INC-20A, the declaration of commencement of business, applies to every company with share capital incorporated on or after 2 November 2018, including private limited companies, and is due within 180 days. The penalty under Section 10A is Rs 50,000 on the company and Rs 1,000 per day on officers in default, up to Rs 1 lakh. If GST-registered, the company files periodic GST returns, commonly monthly GSTR-3B plus GSTR-1. Track every deadline with Commenda’s compliance calendar.
How Do You Open a Business Bank Account in India?
Open a current account with the certificate of incorporation, PAN, a board resolution, and registered-office proof. Banks require in-person verification, usually by the resident director, and minimum balance rules vary by bank.
Account opening takes 1 to 3 weeks depending on the bank. The resident director’s presence for the verification call is the common bottleneck, so align it with the apostille and incorporation timeline above.
