Ghana files its transfer pricing documentation. It does not sit on a shelf waiting for an audit request, which is where most guidance written for other African markets gets Ghana wrong.

The four facts to know:

  • Documentation is required for any controlled arrangement above the cedi equivalent of USD 200,000. At or below that value, nothing is required for that arrangement.
  • An electronic copy of the master file and the local file goes to the tax authority within four months of the basis period end.
  • The annual transfer pricing return runs on the same four-month clock, as a separate filing.
  • Country-by-country reporting starts at GHS 2.9 billion of group consolidated revenue, with the report due twelve months after the reporting year ends.

What are Ghana's latest transfer pricing rules?

The current regulations took effect in November 2020 and repealed the 2012 set outright. The change that matters is the filing one: documentation is now submitted as an electronic copy within four months of the basis period end, rather than prepared and held for a request. Many competitor pages, and some of the tax authority's own return completion notes, still describe the old regime.

The Ghana Revenue Authority publishes the current regulations in full[1]. Every figure on this page is read against that text.

Who do Ghana's transfer pricing rules apply to?

Persons in a controlled relationship. Two entities are in one when one controls the other, or when a common parent controls both. For a group headquartered outside Ghana, the local operating company and the parent are in a controlled relationship the moment they trade, lend, licence or share services.

The regulations set no ownership percentage of their own. They borrow the definitions in the income tax law instead, so the exact percentage is not stated in the transfer pricing text and this page does not invent one.

What are Ghana's master file requirements?

Contemporaneous master file documentation has to exist for each year of assessment, unless the arrangement sits at or below the cedi equivalent of USD 200,000. The electronic copy is filed within four months of the basis period end, alongside the local file.

Note what the trigger is not. Ghana has no group turnover threshold, which is what a reader arriving from a European regime usually expects to find. The test is the value of the arrangement, stated in US dollars and converted to cedis. The content is the usual group-level picture: organisational structure, the group's business, intangibles, intercompany financing and the consolidated financial position. The ultimate parent normally writes it and the Ghana entity files the copy.

What are Ghana's local file requirements?

Same trigger, same deadline, separate filing. The local file covers the Ghana entity's own controlled transactions, its functional analysis and its benchmarking, and it is where the arm's length range is actually tested.

Ghana is specific about that range. The tax authority uses the interquartile range, and applies a three-year weighted average where results are uncertain. A comparable set built to a full-range standard elsewhere will not survive that, so the benchmarking has to be built for Ghana rather than inherited.

Does Ghana require country-by-country reporting?

Yes, for large groups only. A group is excluded where its consolidated revenue is below GHS 2.9 billion, which is the Ghanaian equivalent of the international threshold rather than a copy of it. An in-scope report is due within twelve months after the group's reporting fiscal year ends, and constituent entities notify the Commissioner-General separately.

The reference point that starts the notification window is not confirmed in the regulation text, so this page does not state one. The filing window itself is unambiguous: twelve months after the reporting fiscal year closes.

What transfer pricing forms go to the tax authority in Ghana?

Two, on different clocks. The annual transfer pricing return is the standing one. The election notice is only filed when you want simplified treatment for low value-adding services or a technology transfer agreement, and it has a much shorter fuse.

One caveat worth carrying into any filing. The tax authority's own return completion notes still cite the repealed 2012 regulations, so check the form reference against the current regulations rather than against the notes on the website.

When are Ghana's transfer pricing deadlines?

Four months after the basis period ends, for everything except country-by-country reporting and the elections. For a 31 December 2025 year end, the return and the documentation copy are both due by the end of April 2026.

What language and currency does the documentation use?

Neither is stated in the regulations, so neither is confirmed here. English is Ghana's official language of government and commerce, which is context rather than a documentation rule. The exemption is quoted in US dollars and converted to cedis, which is a drafting choice in that one provision rather than a general currency rule for the files.

What are the penalties for getting Ghana transfer pricing wrong?

There are no transfer pricing specific amounts. The regulations point at the general revenue administration penalties instead, which cover failure to maintain documents, failure to file and misstatement. A currency point equals one Ghana cedi, so the statutory figures convert directly. The tax authority publishes the penalty schedule[2].

Failure to file a returnGHS 500, plus GHS 10 for each day the failure continuesGhana Revenue Authority
False or misleading statement100% of the tax shortfall without reasonable excuse, otherwise 30%Ghana Revenue Authority

The revenue administration law carries each of these amounts[3]. The daily charge on a late return is the one that compounds quietly.

What is a foreign parent exposed to in Ghana?

Three things. An adjustment on the Ghana entity, the general penalties above, and double taxation that is harder to unwind than in heavily treaty-covered markets. An adjustment is treated as an adjusted assessment, which is the point at which penalties and interest attach.

Ghana's treaty network is comparatively limited. We have not confirmed the exact count against a primary source, so we describe it rather than number it. The practical effect is real: an adjustment in Ghana may not be matched by a corresponding downward adjustment in the parent's country, and the group pays tax twice on the same profit.

Does Ghana offer transfer pricing safe harbours?

Two elections, both worth taking if you qualify. Low value-adding intra-group services are accepted as arm's length on a cost plus basis where the markup on cost does not exceed 3%. The election is made within 30 days of entering the arrangement and binds for three years, so it is a decision rather than an annual choice.

The second covers technology transfer agreements registered with the Ghana Investment Promotion Centre. Where charges fall inside the prescribed ranges the agreement can be exempted, and royalties, know-how and management or technical fees are each capped at 2% of net profit. Both elections cut the benchmarking work, and both need their own notice and a signed intercompany agreement behind them.

How does Ghana differ from the OECD standard?

Ghana imports the three-tier documentation model without being a member of the body that wrote it. Ghana appears on neither the OECD's 38-country membership list[4] nor the Inclusive Framework list updated in December 2025 to 148 jurisdictions[5]. Nigeria, Senegal and Cote d'Ivoire all appear. Ghana does not.

The practical differences matter more than the membership question. Documentation is filed within four months rather than kept and produced on request. The trigger is a USD 200,000 arrangement-value exemption rather than a revenue threshold. The country-by-country exclusion is set in cedis at GHS 2.9 billion. And the regulations set out no advance pricing agreement procedure at all.

How we help with Ghana transfer pricing

Ghana files, and it files on a four-month clock that starts the day the basis period closes. We prepare the master file and the local file, build comparable sets that land inside the interquartile range the tax authority uses, and get the electronic copy and the annual return in on time. See how our transfer pricing software works.
