No. Nothing is charged until you confirm on the payment screen, and you see the full line-by-line total there before you enter card details. Annual services renew on the cadence shown next to each one and can be cancelled anytime.
We open your file, assign you a named point of contact, and send one document checklist. Once your documents clear our KYC check we submit the incorporation to Companies House, and your dashboard tracks each step along the way. When the company is formed we load your Certificate of Incorporation, Memorandum and Articles of Association, share certificates, registers of directors and shareholders, director's consent, and registered office proof into it.
A passport copy for every director and shareholder. For each director and person with significant control: full legal name, date of birth, nationality, occupation, home address, email, and phone number. Plus your proposed company name ending in Ltd or Limited, a short description of the business so we can pick the right SIC code, your share structure (number of shares, value per share, and rights), and your trading start date. That is the whole list, and we prepare the filing from it.
Companies House issues the Certificate of Incorporation 2 to 5 business days after we submit, subject to KYC clearance. Companies House controls that clock, not us. The part you control is the document checklist. The sooner it is complete, the sooner we submit.
Yes. The $500 covers the Companies House incorporation fee and every filing fee involved in forming the company. No separate government invoice arrives later. If you add the annual compliance plan, its Companies House filing fees are included in that price too.
You do not need a UK resident director. One director aged 16 or over is enough and Companies House sets no residency requirement, so a UK Ltd can be fully foreign owned. You do need a registered office at a real UK address where official mail is handled, and a P.O. box does not qualify. Your first year of our London registered office comes with formation and renews at $500/year after that. A UK-resident director only matters if you want a high-street bank account, and that nominee service is a separate $3,000/year line item, not part of the $500.
Yes. Bank account assistance is included in the $500, and no bank account is needed to incorporate, so we set it up after registration. Online business accounts such as Revolut and Wise do not require a UK-resident director. A traditional high-street account, for example Lloyds, usually does, which is what the separate nominee director service covers.
Anyone holding more than 25% of the shares or voting rights, or who otherwise controls the company. Every PSC has to be named on the register with their name, address, and the nature of their control, and that record is public. Getting the list right at formation avoids an amendment filing later. Tell us who they are and we handle the register.
The $500 covers formation, your formation documents, the shareholder purchase agreement, standard corporate registers, and bank account assistance. Annual compliance ($3,600/year), monthly bookkeeping ($2,400/year), VAT registration ($1,000) and VAT filing ($200/month), the nominee director ($3,000/year), and registered office renewal from year two ($500/year) are each separate. Payroll and PAYE, immigration and visas, and trademark work sit outside the package entirely.
UK obligations attach to the company's existence, not its revenue. A dormant company still owes annual accounts, a Corporation Tax return or a dormancy notification, and a Confirmation Statement. Late accounts draw Companies House penalties from £150 up to £1,500, and missing the Confirmation Statement can get the company struck off the register.
Yes. Anything here can be added or dropped from your dashboard, and the annual services cancel anytime. The one worth not delaying is VAT. Liability starts when your taxable turnover crosses £90,000 in a rolling 12 months, not when you register, so back VAT and penalties can build up in the gap.
