No. Nothing is charged until you confirm on the payment screen, and you see the full invoice there one more time. Everything is priced in USD. One cost that is not a Commenda fee: a Swedish AB needs SEK 25,000 of paid-up share capital, about $2,629, and that is your own money going into your own company rather than a charge from us.
We start your AB formation and you get a single point of contact for your account rather than a ticket queue for every question. You receive a document checklist covering every UBO and every director, and we prepare the incorporation papers for signature. We then file the registration with Bolagsverket and register the company for Corporate Income Tax with Skatteverket. Anything else you opted into, VAT registration, imports, payroll or accounting, is set up alongside that.
Start with the part that catches people out: Sweden requires all incorporation documents as wet-ink originals, so scans will not do and you should plan to courier the signed papers. Beyond that we need a passport copy and proof of address for every UBO with more than 25% control and for any director you appoint from your own side, a company structure chart where one applies, and your parent company's Certificate of Registration, Memorandum of Association, and Articles of Association.
Registration with Bolagsverket takes about 2 weeks from the point we hold your complete documents, and Bolagsverket controls the approval itself. Because Sweden insists on wet-ink originals, courier time on those papers is usually what sets your real start date. If you also registered for VAT, Skatteverket takes 4 to 6 weeks. Full VAT and import readiness lands around 6 to 8 weeks, because the EORI and VAT applications run concurrently rather than one after the other.
Yes. Government and legal fees sit inside the $11,500, along with the entity registration itself and registration for Corporate Income Tax. No separate government invoice arrives later. The SEK 25,000 of share capital is the one amount that is not a fee, because it is capital you deposit into your own company.
Yes to both, and the $11,500 covers year 1 of each. A Swedish AB needs at least two directors resident in the EEA, meaning the EU plus Norway, Iceland, and Liechtenstein, and the company cannot be registered without them. Commenda supplies both local directors, and you can still appoint 0 to 2 directors of your own alongside them. Every AB also needs a registered business address for official mail from Bolagsverket and Skatteverket, and ours is in Stockholm, with Gothenburg arranged if that is an absolute requirement. From year 2 the two directors renew at $5,000 per year together and the address at $2,000 per year. Bundling year 1 of both into formation is why Sweden's price is higher than most markets in this flow.
Yes, and it is already included in the $11,500. A Swedish corporate account is required, and it can be opened anywhere in the EEA rather than strictly in Sweden. We coordinate the introduction, handle the documentation, and prepare the full submission, though the approval is the bank's own decision and we do not guarantee it. The company has to exist before an account can open, so this step follows your Bolagsverket registration.
The $11,500 covers entity registration, government and legal fees, Corporate Income Tax registration, your registered business address for year 1, both local directors for year 1, and bank account opening. Everything else is a separate line you choose: registered address from year 2 ($2,000/year), both local directors from year 2 ($5,000/year), the annual corporate income tax return ($650/year), year-end accounting and annual report preparation ($300/hour, billed as used), ongoing bookkeeping ($200/hour, billed as used), VAT registration ($750 one time), VAT return filing ($350 per filing), an EORI number ($450 one time), a fiscal representative ($2,000/year), payroll set-up ($1,000 one time), monthly payroll ($90 per employee per month for 1 to 9 employees), and ad-hoc payroll and labor-law support ($250/hour, billed as used). Whatever your answers added appears on the same invoice before you pay. The $11,500 itself is one-time; the annual and monthly lines above bill separately on their own cadence rather than being folded into the price you see now.
You do if you will sell goods or services in Sweden or elsewhere in the EU, including storing goods in Sweden or selling domestically. Sweden's standard VAT rate is 25%. Registration with Skatteverket costs $750 one time and takes 4 to 6 weeks, and it gives you a Swedish VAT number with the SE prefix; periodic return filing is $350 per filing. One Sweden-specific catch: invoicing Swedish public-sector customers requires PEPPOL e-invoicing in BIS Billing 3 format, so a PDF sent by email is not a compliant invoice.
Because Swedish obligations attach to the company, not to its revenue. A dormant AB still has to prepare statutory year-end accounts, file an annual report with Bolagsverket, and submit a corporate income tax return to Skatteverket. Missing those triggers penalties that quickly cost more than filing properly. The registered address and the two EEA-resident directors also stay in place regardless of activity, because they are conditions of the company existing at all.
Yes. These are separate lines, so you add and drop them as the company changes. Appoint two EEA-resident directors of your own and Commenda's director service falls away. Start selling in the EU and you add VAT registration and filings, start importing and you add the EORI number and a fiscal representative, hire your first person in Sweden and payroll set-up begins.
