Common questions
No. The payment screen shows the same itemised total one more time, and nothing is charged until you confirm it there. The $5,000 formation fee is a one-time charge. Any annual or monthly services you selected, such as Basic Compliance or payroll, bill on their own cadence and are listed separately from that one-time total.
You get a document checklist and we start collecting and legalising the paperwork. In parallel we clear your company name with the Mercantile Registry, which takes 24 to 48 hours, and draft your bylaws. We then apply for the tax IDs and director NIEs, sign the incorporation deed before a Spanish Notary, and file it with the Commercial Registry. You work through one point of contact instead of coordinating a notary, the registry, and the Agencia Tributaria yourself.
Passports for your directors, no apostille required, plus your Certificate of Incorporation and Articles, also without apostille. If a company will hold shares, we need a notarized and apostilled Certificate of Good Standing listing its current directors, UBO identification for anyone owning more than 25%, and a Power of Attorney signed by the parent's directors or board, which we draft for you. We also confirm the governance you want for the Spanish company: sole director, joint directors, or a board.
Plan on 8 to 10 weeks end to end. Document collection and legalisation runs through weeks 1 and 2, name clearance takes 24 to 48 hours in parallel, and the tax IDs and director NIEs take about 10 business days. The deed is then signed before a Notary and processed by the registry across weeks 3 and 4, with registry processing itself around 15 working days. Your final NIF lands around weeks 4 to 5 and your digital certificate in week 5. The notary's calendar and the registry's queue set that pace, not us.
Yes. Government and filing fees are covered by the $5,000. So is the incorporation before the Commercial Registry, the UBO submission, your NIF and VAT registration, and your digital certificate. VAT registration sits inside the formation package, so there is no separate VAT charge for Spain.
No local director. An S.L. does not require a resident director, which is a large part of why it is the standard structure for foreign subsidiaries. You do need a registered address: every Spanish company must hold a legal domicile in Spain where the registry, the Agencia Tributaria, and Social Security send official correspondence. Use your own Spanish office if you have one. If you do not, your first year of virtual office domiciliation is already in the $5,000 and renews at $1,000 per year from year 2.
Yes. Bank account assistance is part of the formation package. A Spanish bank account is not required to incorporate, so banking never holds up your filings. Spanish banks typically require in-person KYC for a director as standard policy, and the opening itself is the bank's process, which we help you navigate. Accounts usually open in weeks 6 to 8, and the step can be staged after your digital certificate is issued if that suits your timing better.
The $5,000 covers the bylaws, a NIE for one shareholder or director, incorporation before the Commercial Registry, the UBO submission, NIF and VAT registration, your digital certificate, bank account assistance, and year 1 of virtual office domiciliation. The paid extras are corporate shareholder KYC and due diligence at $750 per corporate shareholder, virtual office renewal at $1,000 per year from year 2, Basic Compliance accounting and tax at $4,000 per year, employer registration with AEAT and TGSS at $2,000 one-time, and monthly payroll at $150 per employee per month. NIEs beyond that first shareholder or director are also outside the base price. Only the items you selected above are on your invoice.
Spain's obligations follow the company, not its revenue. Even a dormant S.L. must file quarterly tax forms, an annual corporate tax return, and annual accounts, and deposit its accounting books with the Commercial Registry. Missing these triggers penalties and can leave the company in bad standing with the registry and the Agencia Tributaria. Basic Compliance at $4,000 per year covers the whole set if you would rather not run it yourself.
Yes. Payroll is the clearest case: start at zero employees and add them when you make your first hire, billed at $150 per employee per month. Employer registration can be added when you decide to hire in Spain, and Basic Compliance can be added later if you start with your own accountant and change your mind. Today's invoice reflects only the answers you gave above.
Your Spanish entity gets a per-entity, per-jurisdiction compliance calendar of every filing it owes, with status tracking so you can see what is upcoming, done, or overdue. It sends automated reminders ahead of due dates instead of relying on someone remembering to check. Spain runs on a quarterly rhythm, so the calendar reflects the quarterly tax forms, the corporate tax return, the annual accounts, and the deposit of the books. Add Basic Compliance and the same team files them.
You can do it remotely. The incorporation deed is executed before a Spanish Notary, and when directors are not travelling to Spain it is commonly signed by Power of Attorney, which Commenda drafts for you. Every director does need a Spanish NIE, the foreigner tax ID, and that step gates the deed: NIEs and tax IDs take about 10 business days before the notary appointment can happen. The base package includes the NIE for one shareholder or director. The one step that may still need a person in Spain is bank KYC, which Spanish banks typically require in person for a director.
