Common questions
No. Nothing is charged until you confirm on the payment screen. You see the full invoice there first, including the $900 incorporation fee and any annual services your answers added. Nothing is added after the card goes in.
We start the incorporation right away and open your compliance dashboard. You get a named point of contact rather than a ticket queue, plus a KYC checklist for every director and shareholder. Your Form 45 and Company Constitution come to you for signature before filing. After registration you receive the ACRA business profile, the first board resolution, the register of members and directors, and your share certificates.
For each individual director and shareholder: a passport scan and proof of residential address issued within the last 3 months. A director who qualifies through an Employment Pass, Dependant Pass, PEP, or EntrePass also sends a scan of that pass. A corporate shareholder sends its Certificate of Incorporation, a business profile or Certificate of Incumbency, and a group ownership chart, plus UBO documents for anyone owning or controlling more than 25%. You do not need a local shareholder or a big capital injection: a foreign parent can own 100% of the shares, and the company can be incorporated with S$1 of share capital.
About a week end to end once your KYC documents are in hand. Gathering those documents is the part that varies, so the clock really starts when signed papers and IDs are back from every director and shareholder. Commenda holds ACRA-registered filing agent status, so name reservation and the incorporation filing run through us directly instead of a third-party agent. ACRA controls the final approval.
Yes. The $900 covers ACRA name reservation and the incorporation filing fees, plus drafting the Constitution, the director and shareholder appointments, the Certificate of Incorporation and your standard corporate records. No separate government-fee invoice arrives later.
Yes. The Companies Act requires at least one director ordinarily resident in Singapore, and ACRA will not register the company without one. That is broader than most buyers expect: a citizen, a permanent resident, or someone living in Singapore on an Employment Pass, Dependant Pass, PEP, or EntrePass all qualify, so a colleague already on the ground often solves it. If nobody on your team qualifies, our nominee resident director is a separate service at $2,000 per year on top of the incorporation fee, not part of the advertised price. The nominee is non-executive with no bank access, no ownership, and no unilateral authority, and you can replace them the moment you appoint your own resident director.
Yes. Singapore law requires every company to appoint a qualified company secretary within six months of incorporation. The Singapore price list carries no separate company secretary line item, so nothing here is billed for it. Your point of contact confirms how the appointment is handled during onboarding, well inside the six-month window.
Yes. A Singapore corporate bank account is mandatory for entity setup, and we facilitate it through Aspire, our digital banking partner in Singapore. The company has to exist before an account can open, so this step follows incorporation. The bank runs its own approval process and we take you through it.
The nominee resident director ($2,000/year, only if nobody on your team is Singapore resident), the Singapore registered business address ($500/year), GST registration ($500 one time), Accounting Services covering your ACRA and IRAS filings ($4,000/year), and monthly bookkeeping ($2,400/year). Payroll, work pass and immigration work, and trademark filings are not part of this package. Anything you add appears on the same invoice before you pay.
Because Singapore obligations attach to the company, not to its revenue. A dormant Pte. Ltd. still owes an Annual Return to ACRA, plus an Estimated Chargeable Income filing and a Corporate Income Tax Return (Form C/C-S) to IRAS. Miss them and penalties accrue and the company can lose good standing.
Yes. Annual services are added or dropped as the company changes. Appoint your own Singapore resident director and the nominee falls away. Cross S$1 million in taxable turnover and you add GST registration, and the Accounting Services plan then files your GST returns.
