Any service your answers added is listed with its own cadence, annual or monthly, so read those labels before you confirm because they keep billing after the first cycle. New Zealand has no minimum share capital, so there is no capital deposit to fund on top.
We start immediately and open your compliance dashboard with a named point of contact instead of a ticket queue. First we collect KYC for every director, shareholder, and beneficial owner. Then we reserve the name with the Companies Register, complete pre-registration compliance (constitution, registered address, director and shareholder consents, statutory declarations), file the incorporation, register your IRD number, and start the corporate bank account application.
For every director and shareholder: legal name, contact details, and residential address, plus a notarized passport copy for anyone who is not a New Zealand resident. Each ultimate beneficial owner adds a notarized passport or government ID, notarized proof of residential address in English (a bank statement or utility bill no older than 3 months), a CV, proof of source of income, and a signed UBO declaration. A corporate shareholder sends its certificate of incorporation, register of members, register of directors, register of beneficial owners, constitution, and latest annual return and tax return. If your parent is a U.S. company those registers usually do not exist, so we have you prepare an internal document listing directors and UBOs, signed by the company secretary.
Incorporation runs about a week once signed documents and IDs are back from everyone. The clock really starts when that paperwork is complete, and the Companies Register controls the final approval. The corporate bank account follows incorporation and takes around four weeks, which is the banks' timeline, not ours.
Yes. The $11,500 covers the Companies Register filings, so no separate government-fee invoice arrives later. It also covers your IRD number registration, the company secretary and legal registered address for year 1, year 1 of a local nominee director including the security deposit, and the corporate bank account opening. There is no minimum share capital in New Zealand, so nothing has to be deposited before registration. A company can be formed with NZD 1.
Yes, unless one of your own directors already lives in New Zealand, or lives in Australia while also serving as a director of an Australian company. New Zealand law requires at least one director who meets that test, so where nobody on your team does, a local nominee director must be appointed to satisfy the statutory obligation. Year 1 of that nominee is inside the $11,500, bundled with the company secretary, the registered address, and the nominee's security deposit. From year 2 those three renew together at $8,500 per year, so budget for it before you buy.

The biggest item outside it is the year 2 onward renewal of that same bundle, the company secretary, registered address, and local nominee director together at $8,500 per year, which every company without its own resident director keeps paying annually. The other paid services are GST registration ($800 one-time), GST filing ($500 for a bi-monthly cycle or $2,000 for a bi-annual cycle), preparation of management accounts and the corporate tax return ($4,500 per year), payroll system setup ($500 one-time), Xero payroll for up to 20 employees ($3,600 per year), and monthly payroll ($250 per month for your first employee, $150 per month for each additional one). Share capital you choose to contribute, trademark or IP work, and tax advice in your home country are not part of any package.
Yes, and it is already in the $11,500. A corporate account is needed for full operational capability, and the company has to exist before an account can open, so we start it right after incorporation. We prepare your business profile and submit it to several international and regional banks. They run full KYC and director-level due diligence, so the roughly four-week timeline and the decision itself are the bank's, and approval cannot be guaranteed.
Because New Zealand obligations attach to the company, not to its revenue. Your company is registered with Inland Revenue from day one, and every year it must prepare financial statements and file a corporate tax return even with little or no activity. It also has to keep a resident director and a registered address in place the whole time. Skip any of that and the company's good standing is at risk.
