Common questions
No. You see the full line-by-line total on the payment screen, and nothing is charged until you confirm there. The $4,000 formation fee is a one-time charge. Anything on your invoice marked annual or per filing bills separately on its own cadence, and those services can be cancelled anytime.
We open your file, assign you a named point of contact, and send one document checklist. Once your KYC documents clear we run the company name check and instruct a Dutch civil-law notary, who prepares the deed of incorporation bilingually in Dutch and English. The notary executes the deed and the company is registered with the Chamber of Commerce (KvK). Your UBO registration, corporate tax setup, and VAT registration are completed as part of the same incorporation, and every step is visible in your dashboard.
Passport copies for every shareholder and director, plus proof of residential address for each one, a utility bill or bank statement less than three months old. If a company is a shareholder, we need its corporate documents legalized or apostilled. Then our KYC forms, which we send you, and a short description of your intended activities and projected turnover. There is no statutory minimum share capital for a B.V., it can technically be incorporated with 1 euro, so capital never blocks the filing.
About 3 to 4 weeks end to end. That covers the name check, the notarial deed, the notary's shareholder video verification, and KvK registration, with the UBO, corporate tax, and VAT registrations completed along the way. The notary controls the deed and the verification appointment, not us. The part you control is the document checklist, and the sooner it is complete the sooner we can instruct the notary.
Yes. The $4,000 covers the government and filing fees involved in forming the B.V., including KvK registration and the UBO, corporate tax, and VAT registrations. No separate government invoice arrives later. Coordination of the civil-law notary and the bilingual deed of incorporation are part of the package too.
You do not need a local director. The Netherlands sets no resident-director requirement for a B.V., so there is no nominee-director cost here and the company can be fully foreign owned and managed. You do need a registered address in the Netherlands, because the KvK will not register the company without one and it is where the KvK, the tax authorities, and the courts send official mail. A virtual registered address satisfies the requirement in full, you do not need to rent an office. Your first year of our Dutch registered address is included in the $4,000, and it renews at $1,500/year from year two.
No. A Dutch B.V. has to be incorporated by deed before a civil-law notary, and we coordinate that notary for you. The deed is prepared bilingually in Dutch and English, and the notary holds a short video call with the shareholder or shareholders to verify identity. That call is the one appointment you need to be available for, and the notary schedules it.
Yes. A local bank account is not strictly required to incorporate, and many companies start out on a fintech account. We can introduce you to Revolut or 3S Money for virtual and cross-border banking. Traditional Dutch banks usually want local substance and management presence, which is harder for a foreign-run B.V., and it is why we suggest putting in around 5,000 euros of share capital rather than the bare minimum. We cannot open the account for you, that part is the bank's process, but we provide every incorporation document the application needs.
The $4,000 covers formation of the B.V.: notary coordination, the bilingual deed, drafting and review of the articles of association, KYC and due diligence, UBO registration filing, corporate tax setup, VAT registration, and your first year of Dutch registered address. Everything else is a separate line. Basic Dutch tax and accounting compliance is $4,000/year. Dutch VAT returns are $360 per filing, and they are usually filed quarterly. Registered address renewal is $1,500/year from year two. An EORI number, needed only if you move physical goods across the EU customs border, is a one-time $600. A fiscal representative, a Netherlands-based party that handles VAT matters with the Dutch Tax Authorities on your behalf and the route to the Article 23 import VAT deferral licence, is $2,500/year. VAT registration on its own is $750, and you only pay that if you buy it outside a formation package. Opening the bank account itself, the share capital you contribute, payroll, trademark work, and tax advice in your home country sit outside the package entirely.
Dutch obligations attach to the company, not its revenue. A dormant B.V. still has to prepare and publish annual financial statements, file a corporate income tax return, and keep its statutory records current every year. No operations does not mean no obligations. Running those filings from abroad without a Dutch accountant is where most foreign founders get tripped up, so your calendar carries them from day one.
Yes. Anything here can be added or dropped later, and the annual services cancel anytime. The one worth not delaying is EU-wide VAT: if you will make cross-border B2C sales into other EU countries, One-Stop Shop registration has to be in place before the first such sale, and the Netherlands is a common OSS state for non-EU sellers because its filing requirements are straightforward and its portals are in English. OSS sits outside this package, and it does not cover Norway, Switzerland, Iceland, or the UK, so tell us your markets and we will scope what you actually need. Domestic Dutch sales always go on your local Dutch VAT return.
