No. Nothing is charged until you confirm on the payment screen, and you see the full invoice there first. The $2,000 incorporation fee is one time. If your answers add a recurring service, such as the local address or annual compliance, the invoice shows its cadence and the first cycle is charged with today's total, then it renews on that cadence.
Yes. Government and filing fees sit inside the $2,000. That covers requesting the Negative Certificate for your company name, drafting the Articles of Incorporation, recording and filing the incorporation deeds, registration with the Commercial Registry and the Commercial Court, the tax identification number, CNSS social security affiliation, obtaining and certifying the statutory registers, and publication in the Official Bulletin and a legal announcements journal.
Five things. Your intended legal name, the capital amount you want to set, shareholder documents (a company provides its statutes plus a commercial register extract or licence, an individual provides a passport copy), the appointed legal manager's ID or passport, and a precise description of your business activity. We draft the Articles of Incorporation from those, so you are not writing constitutional documents yourself.
We start immediately. You get a compliance dashboard and a named point of contact, and we collect the documents listed above. Then we request the Negative Certificate for your name, draft and record the Articles, file the incorporation deeds, register with the Commercial Registry and the Commercial Court, obtain the tax identification number, set up CNSS affiliation, certify the statutory registers, and publish the required notices. Your registered address is activated at the end of the process.
Roughly 2 to 3 weeks from name reservation through company activation. The incorporation filing returns the commercial number, the tax identification number, and the CNSS social security number together. The Moroccan registry, the commercial court, and the publication journals control those steps, so they set the pace rather than us.
No local director. Morocco allows a non-resident foreign legal manager and permits full foreign ownership, so there is no nominee director cost in this price. A registered legal address in Morocco is mandatory, though, because the tax authorities and courts send official correspondence there and the company cannot be activated without one. If you do not have your own premises, Commenda's domiciliation address at $500/year is required to proceed.
No. Morocco sets no statutory minimum for a SARL. You and your fellow shareholders choose the capital amount freely and tell us the figure during onboarding. That capital is money you put into your own company, so it is not part of Commenda's fee.
Yes, and plan for it early. A Moroccan corporate bank account is mandatory to activate and operate the SARL, and it can only be opened once incorporation is complete. One catch matters. The appointed legal manager has to attend in person, because Moroccan banks require physical presence for signature verification and onboarding. We prepare every document and introduce you to banking partners, but the decision is the bank's own, based on its independent KYC, compliance, and risk checks, so approval cannot be guaranteed.
The $2,000 covers the incorporation itself. Everything else is a paid extra, added only when your answers call for it: local address (domiciliation) at $500/year, which is required if you have no Moroccan premises of your own; Moroccan Basic Compliance at $3,600/year for bookkeeping up to 1,000 transactions, corporate legal compliance, and annual tax returns; payroll for up to 30 employees at $2,000/year; VAT registration at a one-time $1,000; and ongoing VAT return filing from $200/month, scaling with volume. Outside our scope entirely: the bank's own account opening, the share capital you contribute, trademark and IP work, and tax advice in your home country.
Moroccan obligations attach to the company, not to its revenue. A SARL with little or no activity still has to keep proper books, meet its corporate legal obligations, and file annual tax returns with the Moroccan tax administration. Miss them and penalties accrue and the company's good standing is at risk. A quiet entity should not quietly fall out of compliance.
