No. Nothing is charged until you confirm on the payment screen, where the full invoice is shown to you one more time. The formation package on this page is $5,466.50 one time: $4,450 for the formation work, plus $1,016.50 of Italian VAT charged on that service and shown as its own line. Your share capital is separate from all of this. It is your own money going into your own company, not a Commenda fee.
We start immediately, and you get a compliance dashboard with a named point of contact instead of a ticket queue. First we collect KYC and obtain an Italian tax code (codice fiscale) for every shareholder and for the administrator, because the company cannot be incorporated without them. Then our in house team and the Italian notary execute the incorporation deed, the share capital is deposited, and the company is registered with the Register of Enterprises and the Chamber of Commerce, with your VAT number assigned as part of that.
For each individual involved: passport ID, driver's license, proof of address such as a utility bill or bank statement, and an Italian tax code, which we obtain for anyone who does not have one. If a shareholder is a company, we also need its certificate of incorporation, tax or VAT code, legal address, Articles, UBO registry, IDs for its representatives and owners, and proof of authority. A legal representative additionally provides a residency permit and proof of authority, and a self employed shareholder adds a certified business registry extract. You will receive the notarial deed and Articles, the Certificate of Incorporation and Register of Enterprises extract, VAT number confirmation, the shareholder and director registers, and the initial resolutions.
Registration typically completes in 2 to 4 weeks once your documents and the Italian tax codes for all shareholders and the administrator are in hand. Those tax codes are the gate, so the clock effectively starts there. From that point the notary and the Register of Enterprises set the pace: entity structuring, the notarial deed, the share capital deposit, then registration and the Chamber of Commerce. We will not promise you a date that the notary and the registry control, and we will tell you exactly which step you are waiting on.
No. Italian law requires the incorporation deed to be executed before a notary, but if you are not resident in Italy you can sign by Power of Attorney rather than flying over. We prepare the Power of Attorney and book the notarial appointment. The notary controls that step, not us, which is why we start on it as soon as the tax codes land.
Yes. The $4,450 formation fee covers the notary fees, the government registration taxes, the assignment of your Italian VAT number (Partita IVA), and every step required to set the company up and register it with the relevant authorities. No separate government invoice arrives later. Italian VAT on the service itself is the one further line, and it is already inside the $5,466.50 you see.
Italy does not require a local director, so there is no nominee director cost on this invoice. An Italian registered office is mandatory for every company, and it is not part of the $5,466.50. If you do not have your own address in Italy, Commenda's registered office is $900 per year, billed as $75 across 12 months, and Italian law makes it a condition of incorporating. It is the address where the tax authority, the Chamber of Commerce, and the courts send correspondence, so it has to be one you actually monitor.
Yes, and you need one. A corporate bank account is mandatory in Italy because the share capital deposit runs through it as part of incorporation. We coordinate the opening either by Power of Attorney with a traditional Italian bank, or with a digital bank or established fintech such as Wise or Revolut, where access is tied to the administrator's phone and app PIN, so pick someone who will stay reachable. The legal minimum capital for an SRL is 1 euro, but we recommend 1,000 euro or more so banking and day to day operations work in practice.
The $5,466.50 covers the formation work, notary fees, government registration taxes, your Italian VAT number, and the Italian VAT on the service. Everything else is a line you choose: registered office $900/year; accounting and tax compliance $5,930/year for turnover up to 1 million euro, $4,800 to $12,000/year from 1 to 10 million euro, and a tailored quote above that; Italian VAT registration for a foreign seller through a fiscal representative $5,200 one time; INAIL and INPS employer registration $220 one time; employment contract preparation $45 each; payroll and payslips $40/month per employee; annual INAIL declaration $150/year; CU declaration $30/year per employee; Mod.770 declaration $220/year. Also outside the price: your share capital, and business activation steps such as business licenses and the SCIA filing, which vary by municipality and sector and often run a few hundred euro for digital or consultancy businesses. Accounting fees are indicative and exclude VAT and statutory CPA contributions if due.
Italian obligations attach to the company, not to its revenue, and Italian companies carry one of Europe's heavier compliance loads. A dormant company still keeps statutory books and still files periodic and annual VAT declarations, corporate income tax and IRAP returns, withholding declarations, and annual financial statements with the Companies Register.
