No. You see the full invoice one more time on the payment screen, and nothing is charged until you confirm there. Two things to know before you get there. Every price on this page is quoted before Israeli VAT, and 18% Israeli VAT applies on top. And some lines are annual rather than one-time, so check the cadence next to each one.
We start immediately and you get a named point of contact rather than a ticket queue. We collect your details and documents, incorporate the Israeli Private Limited Company (Ltd), register it with the Israeli Companies Registrar, and set up the corporate records the law requires. We then transfer 100% of the shares and the director appointments to your shareholders and directors. The entire process is remote. No physical presence in Israel is required at any point.
Four things to open: the permanent address of each director, three proposed company names, a short description of your business activities, and your shareholding structure if there is more than one shareholder. If a company holds the shares rather than an individual, we also need passport copies of that company's director(s), the passport of the authorized signatory if that is a different person, and apostilled copies of the parent's Certificate of Incorporation, Articles of Association, and Certificate of Good Standing. Non-English documents need a notary-certified translation. Sorting the apostilles and translations sits on your side of the clock, so start them early.
About 1 to 2 weeks, subject to timely receipt of your documentation. That covers incorporation plus the transfer of shares and director appointments. The Israeli Companies Registrar controls the registration step, so we sequence the filing and show you where the file actually is instead of promising a date. If your parent-company documents need apostilles or certified translations, the clock effectively starts when those reach us.
Yes. The Companies Registrar fees for registering your company are inside the $2,630, so no separate government invoice turns up at the end of formation. The annual state fee Israel charges in every later year is a different thing. It is $750, and it sits inside the Annual Maintenance bundle if you take it, or you pay and file it yourself.
No resident director. One director is enough, and that director can be a non-resident foreign national or the representative of a foreign company, so there is no nominee director, Israeli-resident director, or local secretary requirement and no nominee line item on this page. A registered office address in Israel is a different matter. Every Israeli company must maintain one, because that is where the Companies Registrar, the tax authorities, and the courts send official correspondence. If you do not have your own address in Israel, Commenda's registered address service is required to proceed, at $1,150 a year covering the address services plus the security deposit.
Yes, for a one-time $2,500. We run the application and the due-diligence process, including remote opening where the bank allows it. A local Israeli corporate bank account is not optional: you need one before the company can commence operations, complete tax registration, and run ongoing compliance. Approval is always the bank's decision, and Israeli banks ask detailed questions about business activity, ownership structure, and expected transaction flows. Sequence around that. The company must exist before the account can open, and we have seen Israeli bank onboarding delayed by events outside anyone's control, so do not move employees or sign contracts on the assumption the account is live by a fixed date.
The $2,630 covers incorporation of the Ltd, registration with the Israeli Companies Registrar and its fees, the transfer of 100% of shares and the director appointments to you, and your corporate records. Everything else is a separate line. Registered address is $1,150 a year, and it is required rather than optional if you have no Israeli address of your own. Bank account opening assistance is a one-time $2,500. Annual Maintenance is $2,375 a year and bundles the $750 state fee, a $750 registered address, and $875 annual return filing. Post-registration legal hours from an Israeli law firm are $1,400 a year for 4 hours, $3,150 for 10 hours, and $5,600 for 20 hours, with an alternate 20-hour package at $5,850. On top of all of those, 18% Israeli VAT applies. Tax registration and ongoing accounting are quoted separately once you trade, since the fee follows your transaction volume, and so is intercompany or transfer pricing work if your Israeli team bills the parent. Trademark and IP work and tax advice in your home country are out of scope.
Israeli obligations attach to the company, not to its revenue. A quiet Israeli Ltd still owes the annual state fee, an annual return to the Companies Registrar, and a registered address year-round. No operations does not mean no obligations, and letting those slide costs the company its good standing. Tax registration is the one item that genuinely waits until you start trading.
Incorporation and bank account opening are one-time. Registered address, Annual Maintenance, and the legal-hours packages are annual, and Annual Maintenance runs on the calendar year, starting January 1st. So if an annual line is in your cart, the number at checkout is not a single one-off payment. Read the cadence on each line. You can also start narrow and add later: take the incorporation now, add bank account opening, Annual Maintenance, or legal hours when you need them, and we quote tax registration and accounting when you begin trading.
Not until the company begins commercial activity in Israel. Before that, there is no tax registration and no tax reporting to do. Once operations commence, registration with the Israeli tax authorities is mandatory, and Israeli VAT is 18% where it applies. That registration depends on two things being in place: the local Israeli bank account, and the appointment of a local tax representative. Registration and ongoing accounting fees follow your transaction volume, so we quote them separately when you are ready to trade.
Your Ltd goes onto a compliance calendar built from its own details, covering what it actually owes: the annual state fee, the annual return to the Companies Registrar, and tax filings once you are registered. Reminders go out by email ahead of each due date, so nothing depends on someone remembering to log in.
