An annual service like Irish Basic Compliance bills its first year up front and then renews each year, and every recurring line is marked with its cadence on the invoice so a yearly charge never reads as a one-off.

We collect KYC for every director and shareholder, prepare the IPN forms, and draft Form A1, your Constitution documents, and the Report for Officers. We then file the incorporation with the Companies Registration Office, send you the Certificate of Incorporation, and appoint your company secretary. The Register of Beneficial Ownership filing follows within 30 days of incorporation, and that one needs no signature from you.
Each individual director and shareholder sends a passport copy and proof of residential address, a utility bill or bank statement no older than 3 months. Each one also signs an IPN (Identified Person Number) form, which Ireland requires wet-signed and notarized, then returned to us as a scan. A corporate shareholder adds ownership documentation, a share certificate or memorandum of association, plus UBO details. The notarization step is the piece foreign founders underestimate, so start booking it as soon as you pay.
Plan on 6 to 8 weeks end to end: KYC, the notarized IPN forms, the Section 137 bond if you need one, the CRO filing, and the Certificate of Incorporation. The CRO filing is not the slow part. Your signed and notarized documents coming back is, and the CRO controls final approval. Tax registrations sit on a separate track on Irish Revenue's clock, and OSS VAT registration, if you take it, is issued around 4 weeks from submission.
Yes. CRO filing fees are inside the $1,200 and no separate government invoice arrives later. The price also covers KYC and IPN preparation for every director and shareholder, the incorporation application and Form A1, your Constitution documents, the Certificate of Incorporation, the Report for Officers, the RBO filing, the company secretary appointment certificate, and VAT registration with Irish Revenue, which is a $750 service bought on its own.
Every Irish company must have at least one director resident in the European Economic Area, the EU plus Iceland, Liechtenstein, and Norway. If none of your directors qualify, Irish law lets a Section 137 insurance bond stand in for that requirement, and that is how most foreign founders incorporate here. The bond is not part of the $1,200. It is a separate one-time $1,900 line, effective for 2 years, after which you renew it or appoint an EEA-resident director. Without an EEA director or the bond the CRO will not incorporate the company, so if a co-founder already lives in the EEA you skip the cost entirely.
Yes. Every Irish company must keep a registered office in Ireland. That is the address where the CRO and Revenue serve legal and tax mail, and it appears on the public register. Use your own Irish address if you have one. If you do not, Commenda's Dublin virtual office is $900 per year and shows as its own annual line on your invoice.
Yes. A corporate bank account is mandatory for any operational Irish entity, and we facilitate it through Irish and EU partner banks or fintechs such as Revolut Business and Wise. The company has to exist before an account can open, so this step follows incorporation and the bank runs its own approval. One warning worth acting on: in our experience both traditional and fintech banks reject applications from companies with no EEA-resident director, so even where the Section 137 bond satisfies Irish law, a local director is highly recommended to get banking approved. Banks also ask for paperwork the register does not hand you, such as a certified cap table, and we supply the supporting documents including a certificate of incumbency.
The $1,200 covers formation itself: the CRO filing and its fees, your corporate documents, the company secretary appointment, the RBO filing, and VAT registration. Everything else is a priced add-on that joins the same invoice only if your answers call for it: the Section 137 insurance bond ($1,900 one time, if no director is EEA-resident), the Dublin registered office ($900/year), Irish Basic Compliance ($4,000/year) or Irish Advanced Compliance ($7,500/year), ongoing VAT support ($500 per return, Irish returns are bi-monthly), a fiscal representative ($2,000/year, if nobody on your team is EU-based), OSS VAT registration ($1,500 one time), and OSS quarterly filings ($1,000 per quarter). Outside the price list entirely: opening the bank account itself, audited financial statements (the compliance plans prepare unaudited ones), trademark and IP work, and tax advice in your home country.
Because Irish obligations attach to the company, not to its revenue. A dormant LTD still files an Annual Return (Form B1) with the CRO and a Corporation Tax Return (Form CT1) with Revenue, backed by prepared financial statements, and a director taking income from the company can owe a personal Irish return on top. Missing a B1 deadline can cost the company its audit exemption and trigger late fees. Irish Basic Compliance ($4,000/year) covers the B1, the CT1, unaudited financial statements, and CRO reminders; Advanced ($7,500/year) adds monthly bookkeeping up to 500 transactions, bi-monthly VAT returns, and payroll for up to 5 employees.
Yes. Annual services are added or dropped as the company changes. Appoint an EEA-resident director and the Section 137 bond stops needing renewal at the 2-year mark. Start selling to consumers elsewhere in the EU and you add OSS registration and quarterly filings. Hire in Ireland and Advanced Compliance takes over payroll and your VAT returns so you stop paying per return. Director changes are worth starting early: deregistering a director is a two-week process on paper that has run 4 to 4.5 weeks in practice, and registering the replacement is a separate step after that.
