Common questions
No. Nothing is charged until you confirm on the payment screen, and you see the full invoice there one more time first. The €25,000 share capital a GmbH needs is your company's own money, contributed by your founders, not a Commenda fee, and it is not on this invoice. One-time items are billed once. Annual and per-filing items such as compliance, payroll, and VAT returns bill on their own recurring cadence and are not part of the one-time total.
We start with KYC and drafting your company statutes, then prepare a bilingual German and English power of attorney. You notarize and apostille that power of attorney in your home country, and an authorized agent uses it to attend the notary appointment in Germany on your behalf, so no founder has to travel. The share capital is then deposited through a banking partner. Once the commercial register application is notarized and apostilled, the register filing goes in, and your Handelsregisternummer is issued after the capital is confirmed.
For KYC: passports and marital status confirmation for every shareholder and manager, proof of residence such as a recent utility bill, and a phone number. We also ask your consent to re-use those documents for the accountant's onboarding so you do not send them twice. Then you sign, notarize, and apostille two documents in your home country: the bilingual power of attorney and the commercial register application. We draft both for you.
About 4–6 weeks, excluding VAT registration. The steps we run are fast: the power of attorney is drafted in one business day, the German notarization takes one business day, the capital deposit one, and the commercial register filing lands 2–3 business days after the application and the deposit. The slow steps are the ones you and a notary control, notarizing and apostilling the power of attorney and the register application in your home country, roughly 1–2 weeks each depending on your scheduling. Adding VAT registration extends the timeline beyond that.
Yes. Government and filing fees are included in the $7,500. That covers notary coordination and representation at the notarization, the commercial register filing, and your tax ID registration, with no separate government invoice arriving later. The €25,000 share capital is not a fee and is separate from this.
A German GmbH does not legally require a local director. Appointing one is still recommended by the tax authorities and by some banks for practicality and substance, and if no manager resides in Germany an enhanced secretarial service is advisable so official mail is handled. A German registered address is mandatory: the commercial register, the Finanzamt, and the courts send official mail there, and the company cannot be entered in the register without one. Your first year of registered address is included in the $7,500, and it renews at $2,000 per year from year 2.
Yes. We prepare the documentation and liaise with banks as part of formation, and your share capital deposit runs through a banking partner. Bank applications are only taken up once the statutes are signed, which is why the notary step comes first. The account opening itself is the bank's process, so the bank decides and timing varies by bank.
Your $7,500 covers GmbH incorporation: entity registration, legal and administrative filings, power of attorney preparation, notary coordination, representation at the notarization, tax ID registration, the shareholder purchase agreement, bank account assistance, Finanzamt pre-clearance, and year 1 of your registered business address. Everything else is a separate line: registered business address renewal at $2,000 per year from year 2, German basic tax and accounting compliance at $3,600 per year, payroll for up to 10 employees at $3,000 per year, VAT registration at $750 one time, and VAT returns at $360 per filing. The €25,000 share capital is your own money and is not part of this price. Mail and call handling and enhanced secretarial support are usage-based and priced on request, payroll beyond 10 employees is quoted separately, and trademark work and home-country tax advice are out of scope.
German obligations attach to the company, not to its revenue. Every GmbH must prepare annual financial statements under German accounting rules and file corporate tax returns with the Finanzamt each year, regardless of activity. German bookkeeping standards are strict, and penalties for late or missing filings add up quickly. So a quiet German entity still runs on a compliance calendar from day one.
Yes. Annual compliance, payroll, VAT registration, and VAT returns are separate line items you can add when you actually need them and leave off until then. Adding one later does not require changing anything about the company you just formed. If you outgrow a tier, for example payroll past 10 employees, tell us and we quote the larger plan.
Your entity gets a compliance calendar covering every filing it owes, the annual financial statements, corporate tax returns, VAT returns, and monthly wage tax and social security if you employ people. It reminds you ahead of each due date, we file what is in your plan, and the confirmation lands in your dashboard. This is software and people together: the platform holds the calendar and document vault, and an in-house team works with German professionals on the filings. You get a single point of contact instead of a ticket queue, and the same dashboard holds your other entities.
A GmbH has a €25,000 statutory minimum share capital. At least €12,500 must be paid in before registration, though liability extends to the full €25,000. This is your company's own capital, contributed by the founders, not a Commenda fee, and it is not on this invoice. It is deposited through a banking partner immediately after the German notarization, because the commercial register filing cannot proceed until that deposit is confirmed.
