No. Nothing is charged until you enter card details and confirm on the payment screen. You will see the full invoice one more time there, including any annual services your answers added. Prices are set in euros and shown converted to USD, so the incorporation fee is €3,500, about $4,039.
We start immediately. You get a named point of contact and a KYC checklist, and we begin preparing your incorporation documents and company structure. Once KYC clears we file with the Finnish Trade Register, kept by the Finnish Patent and Registration Office (PRH), and register your company for corporate income tax. Your entity, documents, and deadlines appear in your Commenda dashboard as each step completes.
A passport copy and proof of address for every UBO, meaning anyone controlling more than 25% of the parent entity, plus the same two documents for any of your own directors on the Finnish company. If a group sits above the new entity, we need a structure chart and the parent's certificate of registration, Memorandum of Association, and Articles of Association. We also need the street address in Finland the company will use, or you take our registered address service. You upload everything in the dashboard and we chase whatever is missing.
About a month end to end. That covers document preparation, collection and review of KYC, registration with the Finnish Trade Register, and corporate income tax registration. The Trade Register controls the final step, so the exact date it lands is not ours to promise. On your side the usual variable is how quickly the KYC documents come back.
Yes. The €3,500 incorporation fee, about $4,039, covers entity registration, government fees, legal fees, and registration for corporate income tax. There is no separate government invoice to settle afterwards for the registration itself.
Both are required, and neither one sits inside the €3,500 incorporation fee. Finnish law requires at least one board member resident in the European Economic Area at all times, so if none of your directors qualifies, Commenda's resident director service is €3,500 per year for one director, about $4,039, or €5,500 per year for two, about $6,347, each engagement including 5 hours of ad hoc work a year. Your company also needs a real street address in Finland recorded with the Trade Register, and if you do not have premises there, Commenda's registered address with mail handling for up to 20 letters a year is €2,000 annually, about $2,308. Both are annual services billed separately from the one-time incorporation fee. You can still appoint your own non-EEA directors alongside ours.
A Finnish corporate bank account is not legally required to incorporate, so it never holds up registration. We coordinate the opening after the company exists, but the account is the bank's process and we help you navigate it. Finnish banks generally want a locally appointed director involved in onboarding, which is one more reason the resident director service earns its place. Approval rests on the bank's own compliance and due diligence, so it cannot be guaranteed.
The €3,500 covers entity registration, government fees, legal fees, and corporate income tax registration. Everything else is its own line: registered address €2,000 per year, one EEA-resident director €3,500 per year or two for €5,500 per year, the corporate secretarial package €1,700 per year for the annual board meeting and AGM, financial statement filing and deadline monitoring, payroll at €50 per employee per month with €100 per month for payroll tax reports and €150 one-time to onboard each employee, and ad hoc corporate law work at €75 to €275 per hour depending on seniority. VAT registration and VAT returns are not part of this package, and neither is bank account opening, trademark or IP work, or tax advice in your home jurisdiction. You can add payroll or the corporate secretarial package later and each one joins the same invoice.
No. Finland has no statutory minimum, so an Oy can be incorporated with as little as €1 in share capital. There is no capital deposit to fund and evidence before registration. Your cash stays in the business instead of sitting parked to satisfy a registrar.
No travel. Incorporation is completed remotely and you sign from wherever you are. Wet ink originals are sometimes needed, so be ready to courier one physically signed document if your file calls for it. We tell you up front which documents those are, so nothing stalls waiting on the post.
Finnish obligations attach to the company, not to its revenue. A dormant Oy still holds its annual board meeting and Annual General Meeting, files financial statements, and keeps an EEA-resident director and a registered address in place every year. Miss a statutory deadline and penalties accrue and the company's good standing is at risk. The corporate secretarial package at €1,700 per year exists to carry that for you.
Your Oy gets a compliance calendar built from its own details, covering the board meeting and AGM, financial statement filings, and payroll tax reports where they apply. We remind you ahead of each due date, file what is in your plan, and store the confirmation against the entity in your document vault. A named point of contact answers the questions instead of a ticket queue. Add entities in other countries later and they sit on the same dashboard, so a multi-country structure stays on one source of truth.
