The local presence and ongoing services Brazil may require are quoted separately and billed on their own annual cadence, so they are not folded into that first charge.

Brazilian setup runs in six stages: due diligence on your shareholders and directors, a Power of Attorney granted to the local legal representative, registration of the Articles of Incorporation with the Board of Trade (Junta Comercial), issuance of your CNPJ tax ID and the municipal registrations, registration of your foreign capital with the Brazilian Central Bank, and the corporate bank account as the final step. Each stage carries a status in the dashboard, so you can see what is done and what is in progress.
Three possible company names, your intended business activity, and the initial share capital contribution you want to declare. For each individual shareholder we need full name, nationality, ID number, share percentage, occupation, and parents' names, which Brazil requires in order to issue a CPF. For each corporate shareholder we need full name, jurisdiction, ID number, share percentage, and the authorized representative's details. Scanned shareholder identification is mandatory, and depending on your structure we also collect the legal representative's ID, the local director's ID and proof of address, and the Capa do IPTU (property tax cover sheet) for the fiscal address.

That window covers due diligence, the Junta Comercial registration, your CNPJ and municipal registrations, the Central Bank foreign capital registration, and bank account opening. Brazil is one of the more involved jurisdictions, and the Board of Trade, the federal tax authority, and your bank each control their own clock. The lever you control is returning shareholder identification and the parents' names needed for CPF issuance quickly.

What sits outside it are the local presence services Brazil requires and the ongoing services you choose.
Almost certainly, and neither one is inside the $5,870. Brazil requires every Sociedade Limitada with foreign shareholders to have a Brazil-resident legal representative who holds a CPF, receives official notices, signs statutory filings, and carries responsibility for ongoing compliance. If nobody on your team lives in Brazil, Commenda's Local Director service is $13,200 per year and the incorporation cannot proceed without it. Your company also needs a registered fiscal address for the CNPJ and municipal registrations, and Commenda provides one for $2,640 per year if you do not already have an address in Brazil.
This is separate from the local director and it catches most buyers out. Brazilian law requires every shareholder based outside Brazil, whether an individual or a parent company, to appoint its own Brazil-resident legal representative holding a CPF before the company can be registered. That representative handles formal interactions, compliance acknowledgments, and statutory filings for that shareholder. Commenda provides one for $5,940 as a one-time fee per foreign shareholder, so one foreign parent holding all the shares means one representative, and the checkout asks for that count and prices from it.
Yes. A corporate bank account is mandatory in Brazil and must be opened locally, as the final step once the entity is fully registered. We prepare everything the bank asks for, including the CNPJ, the incorporation documents, and the digital certificates, and we coordinate the supporting filings, including the Central Bank registration Brazil requires for foreign capital. The account approval itself is the bank's process, which we help you navigate.

Everything else is a separate line item: Local Director at $13,200 per year, Shareholder's Legal Representative at $5,940 one-time per foreign shareholder, Fiscal Address at $2,640 per year, Local Professional Accountant at $1,200 per year, Monthly Back Office at $14,520 per year, Annual Financial Compliance at $2,460 per year, and Annual Legal Compliance at $2,200 per year. The full stack together comes to $48,030, and most companies start with only a few of those. Also outside the price: the share capital you declare and contribute, which is your own money and not a Commenda fee, plus trademark work and tax advice in your home country.
Brazilian obligations attach to the company, not to its revenue. A dormant Ltda. still owes annual financial compliance, meaning financial statements and federal, state, and municipal tax filings, plus annual legal compliance to keep corporate records, registrations, and statutory appointments current. Your statutory books also have to sit under a locally licensed professional accountant, and filings are made in Portuguese through government systems. Let either stream lapse and penalties accrue and your CNPJ is at risk, which is why the calendar runs from day one.
