No. You review the full itemised invoice on the payment screen and nothing is charged until you confirm it there. The formation package is a one-time charge. Any monthly, quarterly, or annual services you picked, such as a registered office or an ongoing accounting plan, bill separately on their own cadence and are not part of that one-time total.
KYC screening starts first and runs 2–5 business days. We then prepare your certified financial plan and the incorporation documents, and the deed is executed before a Belgian notary. Once the deed is signed we secure your BCE/KBO enterprise number and activate your Belgian VAT number. You get a named contact for the whole sequence rather than a ticket queue.
Every director and every UBO holding 25% or more provides a passport or ID, proof of address dated within the last 3 months, and a short CV. A corporate shareholder adds its certificate of incorporation, articles, share registers, a good standing certificate no older than 3 months, an ownership chart down to natural persons, and its last three annual filings. We also collect source-of-funds evidence and standard sanctions and PEP declarations. On top of the documents we need your company name, your Belgian registered office address, and the name of the local director who will actively run the company.
About 2 to 4 weeks from payment to a VAT-active company. KYC screening takes 2–5 business days, the notarial deed follows 3–7 business days after that, the BCE/KBO number is issued 1–2 business days after the deed, and VAT activation takes 1–7 business days. The notary and the Belgian tax authority control those clocks, so we book each step as early as your documents allow instead of promising a fixed date.
Yes. Government and filing fees are covered by the advertised price, including filing and publication at the BCE/KBO and your Belgian VAT registration. Your share capital is not a fee, it is your own money going into the company. The registered office prices are the one exception to watch, since they are quoted excluding VAT.
The $3,700 Bronze package covers the incorporation itself: drafting the incorporation documents, filing and publication at the BCE/KBO, Belgian VAT registration, the UBO register declaration for one natural person, your digital official documents, an incorporation consultation, and your digital and printed compliance binders. Everything else is priced separately: a registered office at $385 to $480 a month plus a $70 activation fee, mail scanning or forwarding at $28 to $50 a month, EU-wide VAT and OSS registration at $630, worldwide VAT registration at $1,260, payroll setup for up to 3 employees at $1,850, a pack of 3 Belgian employment contracts at $1,850, initial bookkeeping setup at $440, a shareholders' agreement at $480, IPP/ISOC structuring advice at $400, a strategic workshop at $1,100, and secure physical archiving at $2,250. Ongoing accounting and VAT filing plans start at $500 a month, and individual year-end filings run $70 to $150 a year each. A few items are quoted on request rather than listed: payroll for more than 3 employees, extra UBO update filings, additional consultations, visa and immigration support, and subsidies and grants assistance.
Yes to both, and Belgium is strict about them. You need at least one local director who genuinely manages the company, receives proper compensation, and holds real authority; nominee and passive directors are prohibited, so this is not a service Commenda or anyone else can legitimately sell you here, and attempts to work around it have led to VAT number suspensions and financial penalties. Your registered office must also be genuine premises with a valid right of use, not a mailbox, because notaries and banks check it. If you have no Belgian premises, our address partner runs city-centre offices, is registered with the FPS Economy as a Professional Service Provider, and signs a formal domiciliation agreement with your company for $385 to $480 a month depending on commitment length, plus a $70 activation fee and a security deposit equal to one month's fee.
Belgian law requires the incorporation to be executed as a notarial deed before a Belgian notary. You can attend in person or sign by power of attorney, so travel is not mandatory. The notary also requires a certified financial plan: an SRL/BV has no statutory minimum share capital, so instead you have to show the company holds enough financial resources to support its early operations. Our team prepares that financial plan as part of the formation work.
Yes, and you will need one. A Belgian bank account is mandatory and the opening is strictly in person, since Belgian banks do not accept proxy or remote opening. We coordinate the appointment and prepare the documentation, and the process runs in parallel with incorporation, taking 5 to 30 business days depending on the bank's compliance review. Professional bank account opening is bundled from the Silver formation package ($7,420) up, so choose Silver or higher if you want us to run it end to end.
Belgian obligations attach to the company, not to its revenue. With no sales at all, your SRL/BV still files quarterly VAT declarations, deposits an annual financial statement, files a corporate income tax return, and keeps its UBO register current, and your Belgian-resident director usually owes a personal income tax filing too. Belgium enforces this strictly, so a missed VAT deadline can invite scrutiny of the entity itself rather than just a penalty. These land on your compliance calendar from day one.
Yes. The formation package is the only thing you have to settle now. EU or worldwide VAT registration, payroll setup, bookkeeping, an ongoing accounting plan, and extra VAT filing streams can all be added afterwards at the same listed prices, and you can move up to a larger accounting plan or bolt on individual year-end filings without touching anything else. If you already know you will bank, hire, and sell across the EU, a higher formation tier costs less than adding each piece to Bronze one at a time.
Your entity gets a compliance calendar built from its jurisdiction, entity type, and fiscal year end, covering every Belgian obligation it owes: quarterly VAT declarations, the annual financial statement, corporate income tax, the UBO register, and any BENELUX, EU, or OSS filings you add. Automated reminders go out ahead of each due date, we file whatever is in your plan, and the confirmation lands in your document vault.
