Choose the right business structure for your company
BV (Besloten Vennootschap)
A BV – the Dutch private limited liability company – is the most widely used structure for foreign-owned subsidiaries and holding companies in the Netherlands. It's flexible, requires no minimum share capital, and is fully accessible to foreign owners and directors without any Dutch residency requirement. Formation requires execution of a deed of incorporation before a Dutch civil law notary and registration with the Chamber of Commerce (KVK).
Benefits
- Shareholders' liability is limited to their capital contributions
- No minimum share capital requirement – companies can be incorporated with as little as €0.01 per share
- No Dutch residency requirement for directors or shareholders – fully foreign-owned structures are permitted
- Access to the Netherlands' participation exemption – dividends and capital gains from qualifying subsidiaries (5%+ shareholding) are 100% exempt from Dutch corporate tax
- Access to 90+ double taxation treaties – one of the most extensive networks in the world
- Innovation Box regime: qualifying IP income is subject to a reduced effective rate of 9%
Key considerations
- Formation requires notarization by a Dutch civil law notary (Notaris) – adding time and cost compared to jurisdictions without this requirement
- Must file annual accounts with the Chamber of Commerce (KVK), which are publicly accessible
- Subject to Dutch corporate income tax: 19% on the first €200,000 of taxable profit; 25.8% on profits above that threshold
- A registered Dutch address is required at all times
- All official filings are in Dutch, though English is widely used in business practice
Frequently asked questions
The Netherlands offers a uniquely powerful combination of strategic location, business infrastructure, and tax efficiency. Home to the Port of Rotterdam (Europe's largest) and Amsterdam Schiphol Airport (one of the world's busiest cargo hubs), it's a natural operational base for European distribution and logistics. For holding structures, the Dutch participation exemption – which fully exempts qualifying dividends and capital gains from corporate tax – combined with one of the world's largest tax treaty networks (90+ countries) makes it a leading jurisdiction for international structuring. The Netherlands is an English-friendly, EU member state with a highly educated workforce and a stable, transparent legal environment.
Commenda manages the entire incorporation process – from choosing between a BV and NV, to coordinating notarization, KVK registration, registered address setup, and guided tax ID and VAT enrollment. We work with Dutch legal and accounting professionals so your entity is correctly established from day one, without the complexity of navigating Dutch bureaucracy or language barriers alone.
Most Dutch BV incorporations are completed within 5–10 business days once your documentation is received. The process involves drafting and executing a deed of incorporation before a Dutch civil law notary, followed by KVK registration. Commenda coordinates each stage to keep the process moving as efficiently as possible.
No physical presence is required. The notarization process can be handled remotely through a power of attorney, allowing foreign founders to authorize a Dutch notary or representative to execute documents on their behalf. Commenda coordinates this as part of the incorporation process – all managed through the platform.
Yes – every Dutch BV and NV must maintain a registered office address in the Netherlands. This address is listed on the public KVK register and is required for official correspondence from the Belastingdienst and other authorities. Commenda provides a Dutch registered address as part of the incorporation package.
After incorporating, your entity must file annual accounts with the Chamber of Commerce (KVK), submit a corporate income tax return (Aangifte Vennootschapsbelasting) to the Belastingdienst, and handle VAT filings – typically quarterly. Larger entities may have additional audit and publication requirements. Commenda's managed compliance service keeps you on top of every obligation so your entity stays in good standing and you avoid penalties.
Yes – there are no nationality or residency requirements to own or direct a Dutch BV or NV. Foreign nationals and foreign-incorporated entities can be 100% shareholders and directors. Commenda's team helps you structure ownership correctly for your cross-border situation, including any holding or IP structuring considerations.
